Terms and Conditions – Sales Executive Services in Argentina Buenos Aires
- This Invoice is issued in accordance with the Service Agreement (Ref: SE-BA-2025-0114) executed between Meridian Business Solutions S.A. and Grupo Andino Comercial S.R.L., both domiciled in Buenos Aires, Argentina.
- All services rendered by the Sales Executive team are subject to the scope of work defined in the master contract. Any additional services beyond the agreed scope will be invoiced separately with prior written authorization from the client.
- The Sales Executive and all supporting personnel are bound by strict confidentiality obligations regarding client data, sales strategies, and proprietary information encountered during service delivery in Buenos Aires.
- Tax amounts (IVA 21% and IIBB) are calculated in compliance with the Argentine Federal Tax Administration (AFIP) regulations and the Buenos Aires Province tax authority requirements. The client is responsible for any additional tax obligations arising from their specific fiscal regime.
- This Invoice must be presented for payment within thirty (30) calendar days of the issue date. Failure to remit payment by the due date will result in the application of statutory interest at the rate established by the Central Bank of Argentina (BCRA) for overdue commercial obligations.
- All disputes arising from this Invoice or the underlying Sales Executive services shall be resolved through the commercial courts of the City of Buenos Aires, Argentina, in accordance with the applicable provisions of the Argentine Civil and Commercial Code.
- Meridian Business Solutions S.A. reserves the right to suspend ongoing Sales Executive services if payment is not received within five (5) business days past the due date, without liability for any resulting delays in service delivery.
- This document constitutes a valid fiscal invoice (Factura A) for all purposes under Argentine tax law and may be used for the deduction of IVA credits and IIBB credits by the recipient in their respective tax filings.
