Invoice Notes & Service Summary
This Invoice is issued by Nile Commercial Solutions Ltd. to formally document the professional Sales Executive services rendered to Al-Andalus Trading & Distribution Co. during the period of April 2025 through May 2025. All services were executed in and around Sudan Khartoum in accordance with the master service agreement (Contract Ref: MSA-2025-0112) signed on 28 March 2025.
The Sales Executive assigned to this engagement, Mr. Khalid Osman, operated under the direct supervision of the client's Procurement Manager and reported weekly to the project steering committee. All deliverables, including market development reports, negotiation summaries, training materials, and exhibition follow-up documentation, have been submitted and accepted in writing by the client as of 5 June 2025.
Please note that this Invoice covers only the services listed above. Any additional Sales Executive hours, travel expenses to locations outside Khartoum city limits, or ad-hoc requests made after the service period will be invoiced separately. The client is requested to settle the full amount of this Invoice within thirty (30) calendar days of the issue date to avoid late-payment penalties as stipulated in the master agreement.
Terms & Conditions
1. Payment is due within 30 days of the Invoice date. Late payments shall attract a penalty of 1.5% per month or the maximum rate permitted under Sudanese commercial law, whichever is lower.
2. All amounts are quoted in Sudanese Pounds (SDG). In the event of significant currency fluctuation, the parties agree to renegotiate rates for future Invoice cycles.
3. This Invoice is valid for 90 days from the date of issue. After this period, the Invoice must be re-issued and the due date recalculated.
4. Disputes arising from this Invoice or the underlying Sales Executive services shall be resolved through amicable negotiation in Khartoum, Sudan, in accordance with the dispute resolution clause of the master service agreement.
5. The Sales Executive services described herein are subject to the confidentiality and non-disclosure provisions outlined in Annex C of the master agreement. All client data, trade secrets, and commercial information remain the exclusive property of Al-Andalus Trading & Distribution Co.
6. This Invoice constitutes a final and binding statement of charges for the services rendered. No verbal or informal agreements modify the terms stated herein.
