Terms, Conditions & Payment Instructions
This Invoice is issued by Dr. Eleanor M. Whitfield, a credentialed University Lecturer operating under the academic and commercial regulations of the United States New York City metropolitan area. All services described herein were rendered in accordance with the Master Service Agreement (MSA) dated December 1, 2024, between the University Lecturer and Meridian Institute of Higher Education.
- Payment is due within thirty (30) calendar days of the Invoice date. Late payments shall accrue interest at a rate of 1.5% per month, in compliance with New York City commercial code provisions.
- Remittance shall be made via ACH transfer to the bank account specified above, or by certified check payable to "Dr. Eleanor M. Whitfield, University Lecturer" and mailed to the New York City address listed on this Invoice.
- All rates quoted are in United States Dollars (USD) and are subject to annual adjustment based on the New York City Consumer Price Index (CPI-U) as published by the Bureau of Labor Statistics.
- The University Lecturer reserves the right to suspend services if payment is not received within fifteen (15) days past the due date, in accordance with Section 7.3 of the governing MSA.
- This Invoice is subject to the tax laws of the State of New York, the City of New York, and the United States federal government. Applicable taxes have been calculated and itemized above.
- Any disputes regarding this Invoice must be submitted in writing to the Office of Academic Procurement at Meridian Institute within ten (10) business days of receipt. Unresolved disputes shall be arbitrated under the rules of the American Arbitration Association in New York City, New York.
- The University Lecturer confirms that all intellectual property, course materials, and examination content created during the engagement period remain the property of the University Lecturer unless otherwise specified in the MSA. Meridian Institute retains a non-exclusive license to use such materials for internal academic purposes within the United States New York City campus.
- This Invoice constitutes a final accounting for the Spring 2025 semester. No additional charges will be incurred for the service period listed above. Any services rendered beyond May 30, 2025, will be subject to a separate Invoice.
