Invoice Terms & Conditions – UX UI Designer Engagement, Zimbabwe Harare
This Invoice is issued by Harare Digital Design Studio, a registered design consultancy operating in Zimbabwe Harare, in respect of professional UX UI Designer services rendered to Moyo Enterprises (Pvt) Ltd. The following terms govern this Invoice and the associated engagement:
- Payment Terms: Full payment of this Invoice is due within fourteen (14) calendar days from the date of issue. Payment shall be made in United States Dollars (USD) via bank transfer to the account detailed below. Late payments shall attract a penalty of 2% per month as per Zimbabwe commercial practice.
- Bank Details: First National Bank of Zimbabwe, Account Name: Harare Digital Design Studio, Account No: 4482-7721-0034, Branch: Harare Central, SWIFT: FNBZZW2X.
- Scope of Work: All UX UI Designer deliverables listed in this Invoice have been completed and accepted by the client's project lead. The UX UI Designer has provided all source files, design tokens, and documentation as specified in the original Statement of Work dated 28 May 2025.
- Intellectual Property: Upon full and final payment of this Invoice, all intellectual property rights in the UX UI Designer deliverables, including but not limited to wireframes, prototypes, high-fidelity designs, and the design system, shall transfer to the client. Until payment is confirmed, the UX UI Designer retains full copyright ownership.
- Revisions: This Invoice covers the agreed scope of work. Any additional revision requests beyond the three (3) included revision cycles will be billed separately at the UX UI Designer's standard hourly rate of $50.00 per hour.
- Dispute Resolution: Any disputes arising from this Invoice shall be resolved through mediation in Zimbabwe Harare in accordance with the laws of the Republic of Zimbabwe. The parties agree to attempt good-faith negotiation before pursuing formal legal action.
- Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all client data, user research findings, and proprietary information encountered during the engagement in Zimbabwe Harare. This obligation survives the completion of this Invoice by a period of two (2) years.
- Compliance: This Invoice has been prepared in compliance with the Zimbabwe Revenue Authority (ZIMRA) invoicing requirements. The VAT registration number of the service provider is ZW-VAT-2021-99876543.
