Terms & Conditions – Videographer Services, New Zealand Auckland
- This Invoice constitutes a formal request for payment for videography services rendered and to be rendered by Harbour Vision Studios (hereinafter "the Videographer") to Meridian Events & Productions Ltd (hereinafter "the Client") in New Zealand Auckland.
- All services described in this Invoice are subject to the Master Services Agreement dated 10 May 2025 (Ref: MEP-HVS-2025-019). In the event of any conflict, the terms of that Agreement shall prevail.
- The Videographer reserves all intellectual property rights in raw footage, intermediate edits, and final deliverables until full payment of this Invoice has been received and cleared in the Videographer's bank account.
- Upon receipt of full payment, the Client shall receive a limited, non-exclusive, perpetual licence to use the final edited deliverables for internal corporate communications, social media, and promotional purposes within New Zealand and internationally.
- Any late payment on this Invoice shall attract interest at the rate of 1.5% per month (18% per annum) calculated from the due date until the date of actual payment, in accordance with the New Zealand Consumer Guarantees Act 1993 and applicable commercial law.
- The Videographer shall carry professional indemnity insurance of no less than NZD $5,000,000 and public liability insurance of no less than NZD $10,000,000 for the duration of all on-site work in New Zealand Auckland. Certificates of insurance are available upon written request.
- All drone operations conducted as part of this engagement shall comply with the Civil Aviation Authority of New Zealand (NZCAA) Part 101 regulations, local Auckland Council bylaws, and any applicable airspace restrictions. The Videographer is solely responsible for obtaining all necessary permits and authorisations.
- Should the Client wish to cancel or reschedule the event, written notice must be provided no fewer than fourteen (14) days prior to the scheduled event date. Cancellations within fourteen days will be subject to a 50% cancellation fee on the total Invoice amount. Cancellations within 72 hours will incur a 100% fee.
- This Invoice is governed by and shall be construed in accordance with the laws of New Zealand. Any disputes arising from this Invoice or the associated services shall be subject to the exclusive jurisdiction of the District Court of Auckland, New Zealand.
- Harbour Vision Studios Ltd is a registered company in New Zealand (Company No: 642901234) and is registered for Goods and Services Tax (GST) with the Inland Revenue Department. This Invoice includes GST at the current rate of 15%.
