1. Payment Terms: This Invoice requires payment within thirty (30) calendar days from the Invoice date. A 50% advance payment was received on June 1, 2025 (Reference: ADV-2025-04871-A). The remaining balance of 67,620.00 TRY is due by July 15, 2025.
2. Videographer Rights & Licensing: Upon full settlement of this Invoice, the client receives a perpetual, worldwide, royalty-free license for commercial use of all Videographer deliverables. The Videographer retains the right to display the work in personal portfolios and industry showcases unless a separate exclusivity agreement is executed.
3. Revisions: The post-production scope includes two (2) rounds of revision. Additional revision requests beyond the agreed scope will be billed at the Videographer's standard hourly rate of 2,200.00 TRY per hour and will be itemized on a supplementary Invoice.
4. Force Majeure & Weather: Given that the Videographer services are performed outdoors in Turkey Istanbul, weather disruptions (heavy rain, high winds exceeding 40 km/h for drone operations) may necessitate rescheduling. The Videographer will notify the client at least 24 hours in advance. Rescheduled days will be absorbed within the original project timeline at no additional cost.
5. Late Payment: Overdue amounts on this Invoice will accrue interest at the statutory rate set by the Turkish Commercial Code (TTK) until full payment is received.
6. Governing Law: This Invoice and the associated service agreement are governed by the laws of the Republic of Turkey. Any disputes shall be resolved in the competent courts of Turkey Istanbul.
