All amounts are quoted in New Zealand Dollars (NZD) and include 15% Goods and Services Tax (GST) as required by the Inland Revenue Department of New Zealand. Terms & Conditions – Web Designer Services Agreement
- This Invoice is issued by Harbour Digital Studio Ltd, a registered Web Designer and digital agency operating in New Zealand Auckland, in accordance with the scope of work outlined in the signed Statement of Work dated 2 May 2025 (Reference: SOW-2025-0031).
- All intellectual property rights in the final deliverables, including but not limited to source code, design files, and documentation, shall transfer to the client upon full and final payment of this Invoice. Until such payment is received, the Web Designer retains all copyright and licensing rights.
- The Web Designer warrants that all services rendered in New Zealand Auckland shall be performed with reasonable skill and care, in compliance with the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.
- Any changes to the project scope beyond the agreed deliverables will be subject to a written change order and may result in additional charges. The Web Designer reserves the right to pause work until revised terms are confirmed.
- This Invoice is valid for ninety (90) days from the issue date. If payment has not been received by the due date, the Web Designer may suspend ongoing services and post-launch support until the outstanding balance is settled.
- Disputes arising from this Invoice or the associated services shall be resolved through mediation in New Zealand Auckland in accordance with the Disputes Standards Act 2017, or failing that, by the District Court of Auckland, New Zealand.
- The Web Designer shall maintain professional indemnity insurance with a minimum cover of NZD $5,000,000 throughout the duration of the engagement and for a period of two years thereafter.
