Terms and Conditions
1. This Invoice is governed by the laws of New Zealand and the New Zealand Consumer Guarantees Act 1993. All disputes arising from this Invoice shall be resolved in the courts of New Zealand Wellington.
2. The Web Designer reserves the right to suspend ongoing services if payment of this Invoice is not received by the stated due date. A late payment fee of 1.5% per month (or the maximum rate permitted by New Zealand law, whichever is lower) shall apply to overdue balances.
3. All intellectual property rights in the final deliverables, including but not limited to design files, source code, and documentation, shall transfer to the client upon full and final payment of this Invoice. Until such payment is received, the Web Designer retains all rights to the work product.
4. The Web Designer warrants that all services described in this Invoice have been performed in a workmanlike manner and in accordance with industry standards prevailing in New Zealand Wellington. This warranty does not extend to third-party software, hosting services, or content provided by the client.
5. This Invoice constitutes the final and complete statement of charges for the project scope defined in the SOW. Any additional services requested beyond the agreed scope will be subject to a separate Invoice and prior written approval from the client.
6. The Web Designer is registered for Goods and Services Tax (GST) in New Zealand. The GST amount included in this Invoice is calculated at the current rate of 15% in accordance with the New Zealand Inland Revenue Department regulations.
7. By accepting this Invoice, the client acknowledges receipt of all deliverables and confirms satisfaction with the Web Designer services as specified in the project documentation.
