- This Purchase Order constitutes a binding agreement between the Universidad Nacional de Buenos Aires, represented by the undersigned Academic Researcher, and the supplier named above. Both parties agree to fulfill all obligations herein in accordance with Argentine commercial law (Código Comercial de la Nación) and applicable regulations in Buenos Aires.
- All equipment and materials listed in this Purchase Order must be delivered to the specified address in Buenos Aires, Argentina, no later than the delivery deadline stated above. Late delivery will incur a penalty of 0.5% of the total Purchase Order value per business day of delay, up to a maximum of 10%.
- The Academic Researcher reserves the right to inspect all delivered items upon arrival. Any equipment found to be defective, damaged, or not conforming to the specifications outlined in this Purchase Order must be replaced or repaired by the supplier at no additional cost within fifteen (15) business days.
- Payment shall be made via bank transfer to the account specified above within thirty (30) calendar days from the date of the supplier's invoice, provided that all items have been received and accepted by the Academic Researcher. The invoice must include the supplier's CUIT, the Purchase Order number, and a detailed breakdown of all line items.
- The supplier warrants that all equipment is new, unused, and free from defects for a period of twenty-four (24) months from the date of installation. The annual maintenance service (Item 08) includes quarterly preventive maintenance visits and unlimited corrective service calls within the Buenos Aires metropolitan area.
- All intellectual property rights related to research data generated using the equipment procured under this Purchase Order shall remain exclusively with the Universidad Nacional de Buenos Aires and the Academic Researcher. The supplier shall not claim any rights over research outputs.
- This Purchase Order is subject to the Argentine tax regime. The supplier is responsible for issuing a fiscal invoice (factura A) compliant with the Administración Federal de Ingresos Públicos (AFIP) regulations. All prices are expressed in Argentine Pesos (ARS) and include applicable taxes unless otherwise stated.
- Any disputes arising from this Purchase Order shall be resolved through the competent courts of the City of Buenos Aires, Argentina. Both parties agree to attempt mediation before initiating any legal proceedings.
- This Purchase Order may be amended only by written agreement signed by both the Academic Researcher (or her authorized institutional representative) and the supplier. No verbal modifications shall be considered valid.
- The supplier acknowledges that this Purchase Order is funded in part by a public research grant (PICT-2024-01892) and agrees to comply with all reporting and audit requirements imposed by ANPCyT and the Universidad Nacional de Buenos Aires regarding the use of public funds in Buenos Aires, Argentina.
