- Delivery Location: All items listed in this Purchase Order shall be delivered, installed, and calibrated at the Universidad Nacional de Córdoba laboratory facilities located in Argentina Córdoba, specifically at Av. Vélez Sarsfield 950, 4th Floor, X5000 Córdoba. The supplier is responsible for all transportation, handling, and installation costs within the city of Córdoba, Argentina.
- Academic Researcher Compliance: All equipment and materials procured under this Purchase Order are designated exclusively for use by the Academic Researcher team under the supervision of Dra. María Elena Rodríguez. The equipment shall be used in accordance with the research protocols approved by the Institutional Ethics Committee of the Universidad Nacional de Córdoba.
- Warranty: The supplier guarantees a minimum of 24 months of comprehensive warranty on all capital equipment. Consumable items (reagent kits, media) shall carry a minimum shelf life of 18 months from the date of delivery. - Intellectual Property: All data generated through the use of equipment purchased under this Purchase Order by the Academic Researcher team shall remain the exclusive property of the Universidad Nacional de Córdoba. The supplier shall not claim any rights over research findings, publications, or intellectual property derived from the use of the procured materials.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions in the Argentine national supply chain. In such cases, the affected party shall notify the other within 5 business days.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of Argentina.
