- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Supplier. The Academic Researcher project timeline is critical, and any delays in delivery to the Australia Sydney facility may result in contractual penalties as outlined in Section 7.
- Delivery: All goods and services specified in this Purchase Order shall be delivered to the Buyer's premises in Australia Sydney, NSW 2000, no later than the Required Delivery Date stated in Section 1. The Supplier bears full responsibility for transportation, insurance, and customs clearance (if applicable) until goods are received and inspected by the Academic Researcher or their designated representative in Australia Sydney.
- Quality Standards: All equipment procured under this Purchase Order must meet or exceed Australian Standards (AS/NZS) and comply with the relevant regulations of the Australian Competition and Consumer Commission (ACCC). The Academic Researcher reserves the right to reject any item that does not conform to the specifications provided.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. Payment will be processed via electronic funds transfer (EFT) to the bank account nominated by the Supplier. All amounts are quoted in Australian Dollars (AUD) and are subject to the 10% Goods and Services Tax (GST) applicable in Australia Sydney.
- Intellectual Property: All data generated by the Academic Researcher using the equipment and software procured under this Purchase Order shall remain the sole intellectual property of the Buyer. The Supplier shall not claim any rights over research outputs, publications, or findings produced in Australia Sydney.
- Warranty: The Supplier warrants that all goods delivered under this Purchase Order are free from defects in materials and workmanship for a minimum period of twenty-four (24) months from the date of delivery in Australia Sydney. Software licences carry a warranty of uninterrupted functionality for the duration of the licence term.
- Confidentiality: The Supplier acknowledges that the Academic Researcher's project involves sensitive and potentially unpublished research. All personnel assigned to this Purchase Order must sign a Non-Disclosure Agreement (NDA) prior to commencing any work in Australia Sydney. Breach of confidentiality shall result in immediate termination and legal action.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall be compensated for goods already delivered and services already rendered, but no further payment shall be due for undelivered items.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising from this Purchase Order shall be resolved through the courts of Australia Sydney or by arbitration under the rules of the Australian Dispute Resolution Centre.
- Compliance: The Supplier warrants compliance with all applicable Australian employment, environmental, and health and safety legislation. The Academic Researcher's workplace in Australia Sydney is subject to strict occupational health and safety regulations, and all delivered equipment must be certified accordingly.
Note: The Academic Researcher, Dr. Sarah Okafor, has requested that all software installations be performed during the week of 21 July 2025 to align with the commencement of the new research cohort in Australia Sydney. Field research kits (Item 04) must be calibrated to Australian coastal environmental standards prior to delivery. The Supplier is advised to coordinate with the Academic Researcher's laboratory manager, Mr. David Thompson, for all on-site activities in Australia Sydney. A site access pass must be arranged at least five (5) business days prior to any on-site work.
This Purchase Order is authorised and approved by the undersigned representatives of both parties.
