- Delivery: All items under this Purchase Order shall be delivered to the Academic Researcher's laboratory at Peking University, Haidian District, China Beijing, within forty-five (45) calendar days from the date of Purchase Order acceptance. Delivery shall be made between 08:00 and 17:00 local time, Monday through Friday.
- Payment Terms: Payment shall be made in two installments: fifty percent (50%) upon signing of this Purchase Order, and fifty percent (50%) upon successful delivery, installation, and acceptance of all items by the Academic Researcher. Payment shall be processed via bank transfer to the supplier's designated account in China Beijing. The currency of this Purchase Order is the Chinese Yuan (CNY / RMB).
- Acceptance: The Academic Researcher shall have ten (10) business days following delivery to inspect and test all equipment. Any defects, discrepancies, or non-conformities must be reported in writing to the supplier within this period. Failure to report within this window constitutes acceptance of the goods.
- Warranty: All equipment is covered by a minimum twenty-four (24) month warranty from the date of acceptance. The supplier shall provide on-site technical support in China Beijing within forty-eight (48) hours of any reported malfunction during the warranty period.
- Intellectual Property: All data generated through the use of the purchased equipment by the Academic Researcher remains the exclusive property of Peking University and the funding body (NSFC). The supplier shall not claim any rights over research outputs.
- Compliance: This Purchase Order is governed by the laws of the People's Republic of China. All transactions comply with the regulations of the State Administration for Market Regulation and the Ministry of Science and Technology of China. Import permits, where applicable, shall be arranged by the supplier prior to delivery in China Beijing.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government regulations, or other events beyond reasonable control, provided written notice is given within five (5) business days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Beijing Arbitration Commission for final and binding arbitration in China Beijing.
