All physical goods listed in this Purchase Order shall be delivered to the Academic Researcher's laboratory at Guangzhou University, Building 7, Room 704, 123 University Avenue, Tianhe District, China Guangzhou, 510640. The supplier is responsible for all transportation, insurance, and installation costs within the China Guangzhou metropolitan area. Installation of the Scanning Electron Microscope (Item 1) shall include full calibration, a 48-hour operational test, and a written acceptance report signed by the Academic Researcher or their designated laboratory manager. Delivery to locations outside China Guangzhou is not contemplated under this Purchase Order.
5. Terms and Conditions- Payment Terms: Payment shall be made via bank transfer to the supplier's designated account. A 30% advance payment (CNY 694,611.00) is due within 10 business days of acceptance of this Purchase Order. The remaining 70% (CNY 1,620,759.00) shall be paid within 30 days of successful delivery, installation, and written acceptance by the Academic Researcher.
- Warranty: All equipment shall carry a minimum 24-month manufacturer's warranty from the date of acceptance. The warranty is valid throughout the People's Republic of China, with priority service coverage in China Guangzhou.
- Compliance: The supplier warrants that all items comply with the relevant national standards of the People's Republic of China (GB standards) and the specific regulatory requirements for laboratory equipment used in academic research institutions in China Guangzhou.
- Intellectual Property: All data generated from the use of the procured equipment in the Academic Researcher's laboratory shall remain the sole intellectual property of Guangzhou University and the Academic Researcher. The supplier shall not claim any rights over research outputs.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation. If unresolved within 30 days, the matter shall be submitted to the Guangzhou International Arbitration Commission in China Guangzhou for binding arbitration under its rules.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable regulations in China Guangzhou.
- Confidentiality: The supplier acknowledges that the Academic Researcher's research project involves unpublished findings. The supplier shall not disclose any project details, sample compositions, or experimental parameters to third parties without written consent from the Academic Researcher.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in China Guangzhou.
