- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice and confirmed delivery of all items listed in this Purchase Order. Payment shall be processed via bank transfer to the supplier account specified in Section 2. The Academic Researcher shall ensure that all funds are drawn from the approved NSFC-2025-SH-00412 research grant allocated for equipment procurement in China Shanghai.
- Delivery Schedule: All physical goods shall be delivered to the designated laboratory facilities at the Shanghai Institute of Advanced Academic Research, Xuhui District, China Shanghai, no later than 30 July 2025. The supplier shall coordinate delivery with the Academic Researcher's laboratory manager to ensure proper receiving conditions, including climate-controlled staging areas for sensitive optical and cryogenic equipment.
- Quality Assurance: All equipment supplied under this Purchase Order must comply with the National Standards of the People's Republic of China (GB standards) applicable to scientific laboratory instruments. The Academic Researcher reserves the right to inspect and test all delivered items within fourteen (14) days of delivery. Any item found defective, non-conforming, or not meeting the specifications outlined in the attached technical annex shall be replaced at the supplier's sole expense within ten (10) business days.
- Warranty and After-Sales Support: The supplier shall provide a minimum two-year comprehensive warranty on all capital equipment. During the warranty period, the supplier shall respond to service requests within twenty-four (24) hours and dispatch a qualified technician to the China Shanghai laboratory site within forty-eight (48) hours. Annual preventive maintenance visits shall be conducted at no additional cost.
- Intellectual Property and Academic Use: All software licenses procured under this Purchase Order are restricted to non-commercial academic research purposes conducted by the named Academic Researcher and their authorized research team at the Shanghai Institute. Redistribution, reverse engineering, or use for commercial product development is strictly prohibited under the terms of the end-user license agreements.
- Compliance with Chinese Regulations: This Purchase Order and all transactions herein shall comply with the Civil Code of the People's Republic of China, the Measures for the Administration of Government Procurement, and all applicable Shanghai Municipal regulations governing academic research procurement. Import duties, if applicable to any foreign-origin components, shall be borne by the supplier as per the DDP Shanghai incoterm.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the Academic Researcher and the supplier. If unresolved within thirty (30) days, the matter shall be submitted to the Shanghai International Arbitration Center (SHIAC) for binding arbitration in accordance with its rules of procedure. The governing law shall be the law of the People's Republic of China.
- Confidentiality: The supplier acknowledges that the Academic Researcher's ongoing research project involves unpublished scientific data and methodologies. The supplier shall not disclose, publish, or otherwise disseminate any information regarding the nature, scope, or results of the research for which the procured equipment is intended, without the prior written consent of the Academic Researcher and the Shanghai Institute's Ethics and Research Integrity Committee.
