- Delivery: All physical goods shall be delivered to the Universidad Nacional de Colombia, Bogotá Campus (Edificio 450, Av. 126 No. 102219, Bogotá, D.C.) within thirty (30) calendar days from the date of this Purchase Order. The supplier shall coordinate delivery with the Academic Researcher’s laboratory manager at least five business days in advance.
- Payment Terms: Payment shall be made in two installments: fifty percent (50%) upon signed delivery confirmation at the Bogotá facility, and fifty percent (50%) upon successful completion of the installation and calibration service. Payment will be processed via bank transfer to the supplier’s account in Colombian Pesos (COP) in accordance with Colombian tax regulations (Ley 1819 de 2016).
- Warranty: All equipment is covered by a minimum two-year manufacturer’s warranty from the date of installation in Bogotá. The Academic Researcher’s institution reserves the right to request replacement or repair at the supplier’s expense during the warranty period.
- Compliance: The supplier warrants that all products comply with Colombian technical standards (NTC) and the regulatory requirements of the Ministerio de Ciencia, Tecnología e Innovación de Colombia. All imported components must carry proper customs clearance documentation for entry into Colombia.
- Intellectual Property: All data generated by the Academic Researcher using the procured equipment remains the exclusive property of the Universidad Nacional de Colombia. No third-party claims shall be made on research outputs produced in Bogotá.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Bogotá metropolitan area.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Republic of Colombia. Any disputes shall be resolved through the competent commercial courts of Bogotá, D.C.
- Confidentiality: The supplier agrees to maintain strict confidentiality regarding the nature, scope, and findings of the Academic Researcher’s ongoing project. No information pertaining to the research conducted in Bogotá shall be disclosed to third parties without written consent.
