- This Purchase Order constitutes a binding agreement between the University of Kinshasa (Buyer) and CongoLab Scientific Equipment Ltd. (Supplier) for the procurement of research equipment and materials in support of the Academic Researcher's project in DR Congo Kinshasa.
- The Supplier shall deliver all items to the specified address in Kinshasa, DR Congo, no later than 30 July 2025. Late delivery shall incur a penalty of 1% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- Payment shall be made in two instalments: 50% (USD 12,022.20) as an advance payment within 10 business days of Purchase Order acceptance, and the remaining 50% (USD 12,022.20) within 15 business days of successful delivery, inspection, and written acceptance by the Academic Researcher and the University's Procurement Committee.
- All equipment must comply with the standards set by the Congolese National Standards Agency (ANOR) and applicable international quality certifications (ISO 9001, CE marking where applicable).
- The Supplier shall provide a comprehensive 12-month warranty covering all electronic and mechanical components. Warranty service must be available within the Kinshasa, DR Congo, area or via a certified local service partner.
- Intellectual property generated through the use of the procured items by the Academic Researcher shall remain the property of the University of Kinshasa and the relevant funding body.
- Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be submitted to the competent courts of Kinshasa, DR Congo, in accordance with Congolese commercial law.
- This Purchase Order is governed by the laws of the Democratic Republic of the Congo. All communications related to this order shall be conducted in writing, in French or English, and directed to the addresses specified above.
- The Academic Researcher, Dr. Jean-Pierre Mbuyi Kasongo, shall be the primary point of contact for technical specifications, delivery coordination, and acceptance testing of all items listed in this Purchase Order.
- This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be binding.
