All items under this Purchase Order shall be delivered to the Alexandria University Research Complex, Smouha, Egypt Alexandria, no later than 30 August 2025. The supplier is responsible for all transportation, customs clearance at Egypt Alexandria Port (if applicable for imported components), insurance, and on-site installation. The Academic Researcher and her designated laboratory manager shall be present during the final installation and calibration phase to verify that all equipment meets the specifications outlined in the attached technical annex. Delivery delays exceeding five (5) business days beyond the stated deadline shall incur a penalty of 0.5% of the total Purchase Order value per day, capped at 10% of the total amount.
6. Terms and Conditions- This Purchase Order constitutes a binding agreement between Alexandria University and the named supplier upon signature by both authorized parties. No modification shall be valid unless documented in a written amendment signed by both sides.
- The Academic Researcher named in this document retains final acceptance authority over all delivered items. Acceptance shall be confirmed in writing within ten (10) business days of delivery. Failure to issue a written rejection within this period shall constitute deemed acceptance.
- All equipment is warranted for a minimum of three (3) years from the date of acceptance. The warranty covers parts, labor, and on-site service at the Egypt Alexandria research facility. The supplier shall respond to any warranty claim within forty-eight (48) hours.
- Payment shall be processed via bank transfer to the supplier's registered account in Egypt Alexandria. The first 30% is due upon signing of this Purchase Order, 50% upon delivery and acceptance, and the remaining 20% upon completion of the full installation and calibration period.
- The supplier shall comply with all Egyptian environmental regulations, occupational health and safety standards, and the specific laboratory safety protocols of Alexandria University. Any hazardous materials included in this Purchase Order must be accompanied by Material Safety Data Sheets (MSDS) in both Arabic and English.
- Intellectual property generated by the Academic Researcher using the procured equipment remains the sole property of Alexandria University. The supplier shall not claim any rights over research outputs, publications, or data derived from the use of these items.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Alexandria in accordance with the rules of the Egyptian Arbitration Center. The governing law is the Civil Code of the Arab Republic of Egypt.
- This Purchase Order is subject to the right of cancellation by Alexandria University in the event of grant funding withdrawal, subject to a 30-day written notice and payment for any non-cancellable items already in production.
The Academic Researcher, Dr. Layla Hassan, is required to submit a quarterly utilization report to the Department of Applied Research detailing the usage hours, maintenance logs, and research milestones achieved with the procured equipment. The Academic Researcher shall also coordinate with the supplier's technical support team for any training sessions required for her graduate students and postdoctoral fellows. All training materials and software licenses associated with this Purchase Order must be delivered in a format compatible with the university's existing IT infrastructure in Egypt Alexandria. The Academic Researcher is further responsible for ensuring that all fieldwork conducted in the coastal waters of Egypt Alexandria complies with the Egyptian Environmental Affairs Agency (EEAA) permits and the Alexandria Port Authority regulations for marine sampling operations.
