All items referenced in this Purchase Order shall be delivered to the laboratory premises of the Academic Researcher at Université Claude Bernard Lyon 1, located at 43 Boulevard du 11 Novembre 1918, 69622 Villeurbanne Cedex, France Lyon. Delivery is scheduled no later than 30 July 2025. The supplier is responsible for all transportation, insurance, and customs clearance within the territory of France. Installation and calibration of all major instruments must be completed within ten (10) business days of physical delivery. The Academic Researcher or their designated laboratory manager must be present during installation to verify operational readiness and sign the acceptance certificate.
- 6.1 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France Lyon.
- 6.2 The Academic Researcher reserves the right to inspect all delivered goods within fifteen (15) calendar days of receipt. Any defects, non-conformities, or missing components must be reported in writing to the supplier within this period.
- 6.3 Payment of € 30% shall be due upon signing of this Purchase Order. The remaining € 70% shall be due within forty-five (45) days following successful installation, calibration, and written acceptance by the Academic Researcher.
- 6.4 The supplier warrants that all equipment is new, unused, and free from defects for a minimum period of twenty-four (24) months from the date of acceptance. Warranty service shall be provided on-site in France Lyon at no additional cost.
- 6.5 All data collected, stored, or processed in connection with this Purchase Order and the associated research activities must comply with the General Data Protection Regulation (GDPR) and the French national implementation (Loi Informatique et Libertés).
- 6.6 The Academic Researcher shall not be held liable for delays in acceptance caused by force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures of research facilities in France Lyon.
- 6.7 This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
This Purchase Order is authorised for execution by the undersigned on behalf of the Academic Researcher and the University of Lyon. By signing below, both parties confirm their agreement to all terms, conditions, line items, and delivery specifications outlined in this document.
