All items referenced in this Purchase Order shall be delivered to the laboratory premises of the Academic Researcher at Université Paris-Cité, 105 Boulevard de l'Hôpital, 75013 France Paris. The supplier is required to coordinate delivery with the Academic Researcher and the building management office at least five (5) business days in advance. Installation and calibration of all major instruments (Items 01 through 04) must be completed within fourteen (14) calendar days of delivery. The supplier's technical team shall conduct on-site training for the Academic Researcher and up to four (4) additional laboratory personnel in France Paris to ensure full operational competency. All deliveries are subject to the French national transport regulations applicable within the France Paris metropolitan area.

Payment for this Purchase Order shall be made via bank transfer (virement bancaire) to the supplier's designated account. The payment schedule is as follows: a deposit of 30% (€110,538.00) is due within ten (10) business days of the acceptance of this Purchase Order; a second instalment of 50% (€184,230.00) is due upon confirmed delivery and installation in France Paris; and the final balance of 20% (€73,692.00) is due within thirty (30) days following successful completion of the on-site training for the Academic Researcher and issuance of the final acceptance certificate. Late payments shall incur interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).

  • This Purchase Order is governed by the laws of the French Republic and shall be interpreted in accordance with the French Civil Code and Commercial Code.
  • All equipment must carry a minimum manufacturer warranty of twenty-four (24) months from the date of installation in France Paris.
  • The supplier warrants that all items are new, unused, and conform to the specifications approved by the Academic Researcher and the institution's scientific committee.
  • The Academic Researcher reserves the right to inspect all delivered goods within five (5) business days and to reject any item that does not meet the agreed specifications.
  • Any modification to this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements are not binding.
  • The supplier shall comply with all applicable French and European Union regulations regarding the handling, transport, and disposal of laboratory equipment and chemical reagents within France Paris.
  • Disputes arising from this Purchase Order shall be resolved by the competent commercial courts of France Paris (Tribunal de Commerce de Paris).
  • This Purchase Order becomes effective upon signature by both the authorised representative of the institution and the supplier.
