All goods specified in this Purchase Order shall be delivered to the laboratory premises of the Academic Researcher at Oettingenstraße 67, 80538 Munich, Germany, no later than 30 September 2025. The supplier is responsible for all transportation, insurance, and customs clearance (if applicable) within the territory of the Federal Republic of Germany. Installation of the confocal microscope and cell sorting system must be completed and certified by a qualified technician within 14 calendar days of delivery. The Academic Researcher or her designated laboratory manager shall be present to sign the delivery and installation acceptance certificate.
Payment for this Purchase Order shall be made in accordance with the following schedule: 30% advance payment upon confirmation of this Purchase Order by the supplier; 50% upon successful delivery and installation of all major equipment; and the remaining 20% upon final acceptance, completion of the training programme, and submission of all warranty documentation. All payments shall be made via bank transfer to the supplier's designated account in Munich, Germany. The payment terms are net 30 days from the date of the respective invoice. Late payments shall incur interest at the statutory rate under Section 288 of the German Civil Code (Bürgerliches Gesetzbuch – BGB).
This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany. The supplier warrants that all goods are new, unused, and free from defects for a period of not less than 24 months from the date of installation. The Academic Researcher retains the right to inspect all delivered goods within 10 business days and to reject any items that do not conform to the specifications outlined in the attached technical annex (Annex A). This Purchase Order may only be amended or modified in writing, signed by both parties. The supplier shall comply with all applicable data protection regulations under the GDPR (EU) 2016/679 and the German Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG) in the handling of any research-related data.
Note: This Purchase Order is issued under the authority of the LMU Munich Central Procurement Office. The Academic Researcher, Dr. Katharina Brandt, is the end-user and technical recipient of all goods and services.
