- This Purchase Order constitutes a binding agreement between the Academic Researcher (Buyer) and the Supplier upon acceptance. All terms are governed by the laws of the Republic of India, with jurisdiction in the City of India Mumbai, Maharashtra.
- Delivery of all items shall be completed at the University Research Complex, Bandra-Kurla Complex, India Mumbai – 400051, within 90 calendar days from the date of this Purchase Order.
- The Supplier shall provide a minimum 2-year manufacturer's warranty on all instruments and equipment. The 3-year AMC shall commence upon successful installation and calibration.
- Payment shall be made via RTGS/NEFT to the Supplier's designated bank account within 30 days of receipt of a valid tax invoice and delivery confirmation. A 10% advance payment shall be released upon signing of this Purchase Order.
- All goods must comply with the Bureau of Indian Standards (BIS) and relevant academic research safety guidelines as prescribed by the Ministry of Education, Government of India.
- The Academic Researcher reserves the right to inspect all delivered items within 15 working days. Any defects or non-conformities must be reported in writing, and the Supplier shall rectify or replace the item within 20 working days at no additional cost.
- Intellectual property rights related to research data generated using the procured equipment shall remain solely with the Academic Researcher and the institution. The Supplier shall not claim any rights over research outputs.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government policy changes, or events beyond reasonable control, provided written notice is given within 7 days of the event.
- This Purchase Order is subject to the University's Research Ethics Committee approval and the funding agency's (ICRST, New Delhi) procurement guidelines for research grants in India Mumbai.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in India Mumbai as per the Arbitration and Conciliation Act, 1996.
