1. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by the undersigned Academic Researcher, Dr. Layla H. Al-Rashid, in her capacity as Principal Investigator for the funded research project titled "Environmental Contamination Assessment of the Tigris River Basin: A Multi-Year Longitudinal Study". The purpose of this Purchase Order is to formally authorize the procurement of specialized laboratory equipment, analytical reagents, field sampling apparatus, and computational resources required to advance the stated research objectives. All items listed herein are to be delivered to the University of Baghdad research laboratory located in the Al-Jadriya District of Iraq Baghdad, where the Academic Researcher and her team of four graduate assistants will conduct the primary experimental work. This Purchase Order constitutes a binding commitment between the buyer and the seller under the commercial laws of the Republic of Iraq and the procurement regulations of the University of Baghdad.

3. DELIVERY AND INSTALLATION TERMS

All items specified in this Purchase Order shall be delivered, installed, and commissioned at the University of Baghdad research facility in Iraq Baghdad no later than 30 August 2025. The seller is responsible for all logistics, customs clearance at the Baghdad International Airport or the land border crossing, and final on-site installation. The Academic Researcher and her designated laboratory manager will be present during installation to verify that all equipment meets the technical specifications outlined in Appendix A of this Purchase Order. A formal acceptance certificate, signed by both the Academic Researcher and the seller's technical representative, must be executed within five (5) business days of installation completion. Failure to deliver within the stipulated window will result in a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.

4. PAYMENT TERMS

Payment for this Purchase Order shall be made in three installments via bank transfer to the seller's account at the Central Bank of Iraq, Baghdad branch:

  1. 30% Advance Payment (USD 129,844.50 / IQD 171,394,740) — due within ten (10) business days of the Academic Researcher's signature on this Purchase Order and the seller's countersignature.
  2. 50% Upon Delivery and Installation (USD 216,407.50 / IQD 285,657,900) — due within fifteen (15) business days of the signed acceptance certificate.
  3. 20% Retention / Final Payment (USD 86,563.00 / IQD 114,263,160) — due within thirty (30) days after the successful completion of the 90-day performance warranty period.
5. WARRANTIES, COMPLIANCE, AND ACADEMIC RESEARCH OBLIGATIONS

The seller warrants that all equipment and materials supplied under this Purchase Order are new, unused, and conform to international ISO and IEC standards. The ICP-MS and HPLC systems carry a minimum two-year manufacturer's warranty covering parts and labor, with on-site service available within Iraq Baghdad within forty-eight (48) hours of a service request. The Academic Researcher confirms that the procurement of these items is fully funded under University of Baghdad Research Grant UOB-RES-2025-0317 and complies with the Iraqi Ministry of Higher Education and Scientific Research procurement guidelines. All data generated using the procured equipment shall remain the intellectual property of the Academic Researcher and the University of Baghdad. The seller agrees not to access, replicate, or disclose any research data stored on the supplied computational workstations.

NOTE: This Purchase Order is subject to the commercial laws of the Republic of Iraq (Law No. 11 of 1997, as amended) and the internal procurement regulations of the University of Baghdad. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the rules of the Iraqi Arbitration Center.
