- Delivery Location: All items under this Purchase Order shall be delivered to the Department of Molecular Biology, Tel Aviv University, 69 Weizmann Street, Tel Aviv 6997801, Israel. Delivery shall be completed no later than 30 September 2025.
- Payment Terms: Payment shall be made via bank transfer to the supplier's designated account within 45 days of the date of invoice issuance. The Academic Researcher's institution will process payment through the Tel Aviv University Procurement and Finance Office in accordance with Israeli public procurement regulations.
- Warranty: All equipment shall carry a minimum 24-month manufacturer's warranty from the date of installation. The supplier shall provide on-site technical support in Tel Aviv for the duration of the warranty period.
- Compliance: All goods must comply with Israeli Standards (SII) regulations and the requirements of the Israeli Ministry of Health for laboratory equipment used in academic research institutions. The Academic Researcher reserves the right to reject any item that does not meet the specified technical parameters.
- Intellectual Property: This Purchase Order does not transfer any intellectual property rights. All research data generated by the Academic Researcher using the procured equipment remains the sole property of Tel Aviv University.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to supply chains affecting delivery within Israel.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the State of Israel. Any disputes shall be resolved in the competent courts of Tel Aviv, Israel.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both the Academic Researcher and the authorized representative of the supplier.
This Purchase Order is valid upon the signatures of both parties. The Academic Researcher confirms that the procurement described herein has been approved by the Tel Aviv University Research Ethics Committee and the Faculty of Life Sciences Budget Committee.
