- Delivery: All items listed in this Purchase Order shall be delivered to the respective locations within Ivory Coast Abidjan no later than 30 July 2025. The supplier, SIMS, is responsible for all transportation, handling, and installation within the Abidjan metropolitan area. Any delays attributable to the supplier will incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
- Payment Terms: Payment shall be made in two instalments: 40% (XOF 21,825,840) upon signing of this Purchase Order and confirmation of order acceptance by the supplier; 60% (XOF 32,738,760) within 15 business days following successful delivery, inspection, and written acceptance by the Academic Researcher, Dr. Aya Koné, and the Department Head. Payment shall be made via bank transfer to the supplier's account at Société Générale Côte d'Ivoire, Abidjan branch.
- Warranty: All equipment purchased under this Purchase Order carries a minimum 24-month manufacturer's warranty from the date of acceptance. The supplier shall provide on-site repair or replacement within 10 business days for any defective item. Consumable reagents (Item 06) carry a 6-month shelf-life guarantee from the date of delivery.
- Compliance: All equipment must comply with the standards set by the Ivorian Ministry of Higher Education and Scientific Research (MESRS) and the West African Economic and Monetary Union (WAEMU) regulations for laboratory and field scientific instruments. The Academic Researcher reserves the right to reject any item that does not meet the specified technical parameters.
- Intellectual Property and Research Use: All data generated using the equipment procured under this Purchase Order shall remain the exclusive property of the University of Abidjan and the named Academic Researcher. The supplier shall not claim any rights over research outputs, publications, or datasets produced in the Ivory Coast Abidjan research environment.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions within the Republic of Côte d'Ivoire. Affected parties must notify the other within 48 hours of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes arising from this document shall be resolved through the competent courts of Abidjan, Ivory Coast.
- Confidentiality: The supplier agrees to maintain strict confidentiality regarding the nature, scope, and findings of the academic research programme for which this Purchase Order is issued. No information pertaining to the Academic Researcher's ongoing studies in the Ivory Coast Abidjan region shall be disclosed to third parties without written consent.
