The following terms govern this Purchase Order and the transaction between the Academic Researcher and the vendor:

Delivery: All items under this Purchase Order shall be delivered to the designated laboratory address in Japan Kyoto no later than 05 July 2025. The vendor shall provide written confirmation of shipment within three (3) business days of order acceptance.
Quality Assurance: All scientific instruments and reagents must meet or exceed the specifications outlined in this Purchase Order. The Academic Researcher reserves the right to inspect and reject any item that does not conform to the agreed-upon standards upon arrival in Japan Kyoto.
Warranty: All capital equipment (Items 1, 2, and 10) shall carry a minimum two-year manufacturer's warranty. The vendor shall coordinate any warranty repairs through their Japan Kyoto service center.
Payment: Payment shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of receipt of a valid tax invoice. The Academic Researcher's institution in Japan Kyoto will process payment through its central accounts payable office.
Intellectual Property: All data generated using the procured equipment remains the sole property of the Academic Researcher and the funding body (JSPS). No vendor claim on research outputs is permitted.
Compliance: This Purchase Order complies with the procurement regulations of Kyoto University and the Japanese Ministry of Education, Culture, Sports, Science and Technology (MEXT) guidelines for academic research funding.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved under the laws of Japan, with jurisdiction in the Kyoto District Court, Japan Kyoto.

IMPORTANT: The delivery address is located within the historic Sakyo-ku district of Japan Kyoto. The vendor is advised that vehicle access to the university campus is restricted between 08:00 and 17:00. Deliveries must be scheduled through the campus logistics office at least five (5) business days in advance. The Academic Researcher's laboratory is on the third floor of Building C; a freight elevator is available for equipment weighing over 20 kg. Please contact the Japan Kyoto campus security desk at +81-75-881-5100 for gate access codes on the day of delivery.
