- Delivery: All items under this Purchase Order shall be delivered to the receiving laboratory at Osaka University of Advanced Sciences, Toyonaka Campus, Japan Osaka, no later than 05 July 2025. The supplier shall coordinate delivery scheduling with the Academic Researcher's laboratory manager at least five business days in advance.
- Payment: Payment shall be made via bank transfer to the supplier's designated account within forty-five (45) calendar days of the date of invoice receipt, in accordance with the standard procurement policy of the issuing institution in Japan Osaka. The total amount due is Twenty-Two Million Nine Hundred Ninety-Five Thousand Five Hundred Japanese Yen (JPY 22,995,500), inclusive of the 10% national consumption tax applicable in Japan Osaka.
- Warranty: All capital equipment (items 01, 02, 03, 05, 06, and 08) shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation and commissioning. The Academic Researcher reserves the right to invoke warranty provisions for any defects in materials or workmanship.
- Compliance: All equipment and reagents must comply with the applicable regulations of the Japan Osaka municipal government, the Ministry of Education, Culture, Sports, Science and Technology (MEXT), and the Japan Society for the Promotion of Science (JSPS) grant conditions. The supplier warrants that all products meet or exceed Japanese Industrial Standards (JIS) where applicable.
- Intellectual Property: All data generated through the use of the procured equipment in the Academic Researcher's laboratory shall remain the sole intellectual property of the issuing institution. No third-party data collection or remote access to instrument software is permitted without written consent from the Academic Researcher.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. If unresolved, matters shall be submitted to the Osaka District Court, Japan Osaka, in accordance with the Civil Code of Japan.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, including but not limited to typhoons, earthquakes, or volcanic activity common to the Japan Osaka region, provided that written notice is given within seventy-two (72) hours of the event.
This Purchase Order is authorised and issued by the undersigned Academic Researcher in his official capacity as Principal Investigator. The document constitutes a binding procurement commitment under the referenced JSPS grant and the institutional procurement regulations of Osaka University of Advanced Sciences, Japan Osaka.
