4.1 Payment Terms: Payment shall be made within 60 days of the date of invoice receipt. Payment shall be processed via bank transfer to the vendor account specified in Section 2. The Academic Researcher's funding grant (JSPS KAKENHI Grant No. 24H01234) is the designated source of funds for this Purchase Order.
4.2 Delivery Terms: All goods shall be delivered to the University of Tokyo, Hongo Campus, Laboratory Building 4, Bunkyo-ku, Tokyo, Japan. Delivery is to be completed no later than 05 August 2025. The vendor is responsible for all transportation, insurance, and risk of loss until goods are received and signed for by the designated Academic Researcher or their delegate at the Japan Tokyo delivery address.
4.3 Installation and Acceptance: The vendor shall provide on-site installation, calibration, and a minimum of two (2) full-day training sessions for the Academic Researcher and laboratory staff. Acceptance of equipment shall be confirmed in writing within 14 business days of installation. Any defects or non-conformities must be reported within this period.
4.4 Warranty: All capital equipment carries a minimum 24-month manufacturer's warranty from the date of acceptance. The 3-year maintenance contract (Item 009) includes priority response within 4 business hours for critical failures, applicable throughout the Japan Tokyo metropolitan area.
4.5 Compliance: All equipment and reagents must comply with Japanese Ministry of Education, Culture, Sports, Science and Technology (MEXT) regulations and the University of Tokyo's laboratory safety standards. The Academic Researcher confirms that all imported items, if applicable, will be cleared through Japanese customs in accordance with applicable import regulations.
4.6 Cancellation: This Purchase Order may be cancelled in whole or in part by the Buyer with 30 days' written notice prior to the delivery date. In the event of cancellation after production has commenced, the Buyer shall be liable for documented non-recoverable costs up to a maximum of 15% of the total Purchase Order value.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through the Tokyo District Court.
This Purchase Order has been prepared specifically to support the research activities of Dr. Sarah Elizabeth Mitchell, Academic Researcher (Postdoctoral Fellow), in her capacity as principal investigator for the Japan Tokyo urban microbial genomics project. All equipment is to be registered under the Academic Researcher's name in the University of Tokyo asset management system. The Academic Researcher is authorized to sign for delivery and confirm acceptance on behalf of the Department. Fieldwork sampling in the Japan Tokyo metropolitan area (including Shinjuku, Shibuya, Minato, and Chiyoda wards) is scheduled to commence in September 2025, and all portable sampling equipment (Item 007) must be fully operational and calibrated prior to that date. The Academic Researcher shall maintain a log of all equipment usage in compliance with university research integrity policies.
This Purchase Order is valid upon signature by both parties. By signing below, the Buyer authorizes the expenditure of funds from the designated research grant, and the Vendor confirms acceptance of all terms, conditions, and delivery obligations outlined in this Purchase Order for the benefit of the Academic Researcher in Japan Tokyo.
