All items under this Purchase Order shall be delivered to the University of Amsterdam, Building D, Room D-214, Science Park 904, 1098 XH, Netherlands Amsterdam. The supplier is responsible for all freight, insurance, and customs clearance (if applicable) until the goods are received and signed for by the designated Academic Researcher or her authorized laboratory manager. Installation and calibration must be completed no later than 14 July 2025 to allow the Academic Researcher sufficient time to validate instruments before the commencement of the experimental phase in August 2025. The supplier shall coordinate delivery scheduling directly with the facilities management team in Netherlands Amsterdam to ensure access to the laboratory floor and use of the freight elevator.

  • 6.1 This Purchase Order is governed by the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands Amsterdam.
  • 6.2 The supplier warrants that all equipment is new, unused, and free from defects. The Academic Researcher reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order within 14 calendar days of delivery.
  • 6.3 Payment shall be made via SEPA bank transfer to the supplier's designated account within 30 days of receipt of a valid invoice and confirmation of satisfactory delivery and installation by the Academic Researcher's laboratory team.
  • 6.4 The supplier shall comply with all applicable Dutch and EU regulations regarding the handling, transport, and disposal of scientific instruments and biological reagents, including the Dutch Environmental Management Act (Wet milieubeheer) and EU REACH regulations.
  • 6.5 The Academic Researcher and the University of Amsterdam retain all intellectual property rights arising from research conducted using the equipment procured under this Purchase Order. The supplier shall not claim any ownership or licensing rights over data generated in the Netherlands Amsterdam laboratory.
  • 6.6 This Purchase Order may be amended only by written agreement signed by both parties. No oral modifications shall be binding.
  • 6.7 The supplier shall maintain full insurance coverage for all goods in transit to and within the Netherlands Amsterdam delivery site.
  • 6.8 In the event of non-delivery or defective performance, the Academic Researcher may terminate this Purchase Order with immediate effect and seek full reimbursement of all amounts paid.
Note: This Purchase Order has been reviewed and approved in accordance with the University of Amsterdam's internal procurement policy (UvA Procurement Manual, 2024 edition) and the NWO grant conditions for project VICI-2025-0341. The Academic Researcher, Prof. Dr. M. Jansen, has confirmed that all items are essential for the approved research protocol and that no alternative sourcing was available at a lower cost within the Netherlands Amsterdam region.
