1. Scope of Purchase Order: This Purchase Order is issued by the University of Auckland on behalf of Dr. Eleanor M. Whitfield, Senior Academic Researcher, for the procurement of research-grade scientific instruments, consumables, and associated services. The supplier acknowledges that all goods and services are to be delivered and performed within the Auckland region of New Zealand unless otherwise specified in writing.
2. Delivery: All items must be delivered to the University of Auckland Science Building, Grafton Road, Auckland 1010, New Zealand, no later than 08 July 2025. Delivery must be arranged during standard business hours (08:00–17:00 NZST, Monday to Friday). The Academic Researcher team will be available to receive and inspect all deliveries. Late delivery beyond the specified date will incur a penalty of 1% of the total Purchase Order value per calendar day, up to a maximum of 10%.
3. Quality and Compliance: All instruments must comply with New Zealand Standards (NZS) and relevant Australian/New Zealand (AS/NZS) safety and performance standards. The supplier warrants that all equipment is new, unused, and free from defects. Calibration certificates must accompany all electronic instruments at the time of delivery.
4. Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier, in accordance with the University of Auckland's procurement policies. Payment will be processed via electronic funds transfer (EFT) to the supplier's nominated New Zealand bank account. The Purchase Order number must be referenced on all invoices.
5. Warranties and After-Sales Support: The supplier provides a minimum two-year warranty on all electronic instruments and a one-year warranty on consumables. The annual calibration and maintenance contract (Item 7) includes on-site service visits to the Auckland campus at least twice per year. The Academic Researcher team must be notified of any warranty claims within fourteen (14) days of identifying a defect.
6. Intellectual Property and Data: All data generated through the use of the procured instruments remains the sole property of the University of Auckland and the funding body. The supplier shall not retain, copy, or distribute any research data collected by the Academic Researcher team.
7. Governing Law: This Purchase Order and any disputes arising from it shall be governed by and construed in accordance with the laws of New Zealand. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Auckland, New Zealand.
8. Cancellation: The University of Auckland reserves the right to cancel or amend this Purchase Order in whole or in part prior to the supplier's confirmation of order acceptance. In the event of cancellation after acceptance, the supplier shall be compensated for documented, non-recoverable costs incurred up to the date of cancellation.
9. Health and Safety: The supplier must comply with all New Zealand Health and Safety at Work Act 2015 requirements during delivery, installation, and any on-site training activities at the University of Auckland premises in Auckland.
This Purchase Order is authorised for release to the supplier upon the signatures below. By signing, the parties confirm that the terms, conditions, line items, and total value stated in this document are agreed and binding. The Academic Researcher, Dr. Eleanor M. Whitfield, confirms that the procurement aligns with the approved research budget for the NZ-ROSWELL-2025-ENV-017 project and that all items are necessary for the continuation of the marine biodiversity fieldwork programme based in New Zealand Auckland.
