All items referenced in this Purchase Order shall be delivered to the Marine Science Building, Victoria University of Wellington, Kelburn, Wellington 6012, New Zealand. The supplier is responsible for freight, insurance, and customs clearance where applicable. Installation and commissioning of the confocal microscope and centrifuges must be completed by a certified technician on-site in New Zealand Wellington within five (5) business days of delivery. The Academic Researcher (Dr. Aroha Ngata, Senior Lecturer in Marine Biology) will be present to oversee installation and sign off on operational readiness. Field equipment (eDNA kits and sediment core sampler) must be delivered in a condition suitable for immediate deployment in coastal and marine environments around the Wellington region.
- 6.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All terms are governed by the laws of New Zealand, specifically the Consumer Guarantees Act 1993 and the Sale of Goods Act 1908.
- 6.2 The Supplier warrants that all equipment supplied is new, unused, and free from defects in materials and workmanship for a minimum period of twenty-four (24) months from the date of delivery in New Zealand Wellington.
- 6.3 The Academic Researcher retains the right to inspect all goods upon arrival at the Wellington campus. Any discrepancies, damage, or non-conformity must be reported in writing within seven (7) calendar days of delivery.
- 6.4 Payment of 30% is due upon acceptance of this Purchase Order by the Supplier. The remaining 70% is due within thirty (30) days of successful delivery, installation, and written acceptance by the Academic Researcher.
- 6.5 The Supplier shall comply with all applicable New Zealand environmental regulations, occupational health and safety standards (HSNO Act 1996), and university procurement policies when delivering and installing equipment on the Wellington campus.
- 6.6 Intellectual property generated through the use of the procured equipment remains the sole property of the Academic Researcher and Victoria University of Wellington. The Supplier shall not claim any rights over research data or findings.
- 6.7 In the event of a dispute, both parties agree to first attempt resolution through mediation in Wellington, New Zealand, before pursuing any legal action in the District Court of Wellington.
- 6.8 This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other. All communications regarding this order shall be directed to the procurement office in New Zealand Wellington.
By signing below, the undersigned parties confirm that this Purchase Order has been reviewed, approved, and accepted in full. The Academic Researcher confirms that the items listed are necessary for the funded research project and that adequate laboratory space and safety infrastructure exist at the Wellington facility to house and operate the procured equipment.
