- This Purchase Order is governed by the laws of the Federal Republic of Nigeria and shall be interpreted in accordance with the Nigeria Lagos commercial regulations and the Nigerian Contracts Act, Cap C23, LFN 2004.
- All items listed in this Purchase Order must be delivered to the LIAAR Research Facility located at 14 Adeola Odeku Street, Victoria Island, Nigeria Lagos, no later than 30th July 2025. Late delivery shall attract a penalty of 1.5% of the total Purchase Order value per day of delay, up to a maximum of 15%.
- The supplier warrants that all equipment and materials procured under this Purchase Order are new, unused, and conform to the specifications required by the Academic Researcher for the stated research project. A minimum 24-month manufacturer's warranty is required on all electronic and mechanical items.
- Payment shall be made via bank transfer to the supplier's designated account in Nigeria Lagos within thirty (30) calendar days of confirmed delivery and acceptance of all items by the Academic Researcher and the LIAAR Procurement Committee.
- The supplier shall provide full installation, calibration, and training for the Academic Researcher and designated research assistants on all technical equipment listed in this Purchase Order. Training sessions shall be conducted at the Nigeria Lagos facility.
- All imported items included in this Purchase Order must comply with the Nigerian Standards Organisation (SON) regulations and the Nigerian Customs Service import requirements. The supplier is responsible for all customs clearance duties and documentation for items entering Nigeria Lagos.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party. The Academic Researcher named in this document retains the right to inspect and approve all deliverables prior to final acceptance.
- The supplier shall maintain full insurance coverage on all goods from the point of dispatch until final delivery and acceptance at the Nigeria Lagos research facility.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
