3.1 This Purchase Order is issued by the undersigned Academic Researcher, Dr. Sarah Al-Mutairi, acting under the authority of the Research Procurement Office at King Abdulaziz University, Jeddah, Saudi Arabia. All transactions governed by this Purchase Order shall comply with the laws of the Kingdom of Saudi Arabia, including the Saudi Commercial Transactions Law and the Value Added Tax regulations issued by the Zakat, Tax and Customs Authority (ZATCA).

3.2 The supplier, Gulf Scientific Instruments Co. Ltd., acknowledges and accepts all terms set forth in this Purchase Order. All goods and services shall be delivered to the designated laboratory facility at King Abdulaziz University, Al-Rawdah District, Jeddah, Saudi Arabia. The supplier is responsible for all shipping, insurance, and customs clearance costs within Saudi Arabia Jeddah.

3.3 Payment terms: Net 60 days from the date of confirmed delivery and acceptance of goods by the Academic Researcher. Payment shall be made via bank transfer to the IBAN specified in Section 1. A 10% retention shall be withheld until the completion of all installation and training services outlined in Line Item 5.

3.4 The Academic Researcher reserves the right to inspect all delivered equipment upon arrival at the Jeddah campus. Any defects, discrepancies, or non-conformities must be reported within seven (7) business days of delivery. The supplier shall replace or repair defective items at no additional cost within fourteen (14) business days of notification.

3.5 All equipment must carry a minimum two-year manufacturer's warranty, in addition to the three-year maintenance contract specified in Line Item 6. The supplier guarantees that all instruments are new, unused, and in full compliance with Saudi Standards, Metrology and Quality Organization (SASO) requirements.

3.6 This Purchase Order shall not be considered valid or binding until signed and stamped by both the Academic Researcher (or authorized university procurement officer) and the designated representative of the supplier. Any amendments to this Purchase Order must be made in writing and signed by both parties.

3.7 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be referred to the competent courts in Jeddah, Saudi Arabia, and governed exclusively by the laws of the Kingdom of Saudi Arabia.

3.8 The supplier shall provide all necessary documentation, including certificates of origin, test reports, user manuals in Arabic and English, and compliance certificates, to the Academic Researcher at the time of delivery in Saudi Arabia Jeddah.

All items shall be delivered to: King Abdulaziz University, Faculty of Science, Building 4, Laboratory Wing, P.O. Box 8040, Jeddah 21589, Saudi Arabia.
