- Delivery Location: All goods and services under this Purchase Order shall be delivered to the National Institute for Academic Research facility at 12 Research Avenue, Singapore Singapore 049321. The Academic Researcher or their designated laboratory manager shall be present to inspect and sign off on all deliveries upon arrival at the Singapore Singapore premises.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice, provided that all goods have been accepted by the Academic Researcher in accordance with the specifications outlined in this Purchase Order. Payment shall be processed via bank transfer to the supplier's designated account in Singapore Singapore.
- Quality Assurance: The Academic Researcher reserves the right to reject any item that does not meet the stated specifications, is damaged in transit, or fails to perform as described. Rejected items must be replaced or refunded within fourteen (14) business days at no additional cost to the purchasing entity.
- Intellectual Property: All data, research outputs, and findings generated by the Academic Researcher using the equipment and materials procured under this Purchase Order shall remain the exclusive property of the National Institute for Academic Research. The supplier shall not claim any rights over such outputs.
- Warranty: All hardware items carry a minimum manufacturer warranty of three (3) years from the date of installation. The supplier shall provide on-site repair or replacement services within Singapore Singapore within forty-eight (48) hours of a valid warranty claim filed by the Academic Researcher.
- Compliance: The supplier warrants that all goods comply with the relevant standards set by the Enterprise Singapore, the Singapore Standards Institution, and all applicable regulatory requirements for laboratory equipment operating within Singapore Singapore. All software licences are valid for use within the jurisdiction of Singapore Singapore.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Singapore Singapore region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore.
- Confidentiality: The supplier acknowledges that the Academic Researcher's work involves sensitive and potentially unpublished research. All personnel accessing the Singapore Singapore facility in connection with this Purchase Order shall sign a non-disclosure agreement prior to commencing any work.
This Purchase Order is issued and authorised by the undersigned on behalf of the National Institute for Academic Research. The Academic Researcher, Dr. Wei Ling Tan, Senior Fellow in Computational Genomics, has reviewed and approved the specifications and line items contained herein. The supplier's acceptance of this Purchase Order constitutes full agreement to all terms and conditions stated above.
