4. Delivery and Installation Terms

All items under this Purchase Order shall be delivered to the Universitat de València laboratory facilities located in Spain Valencia, specifically at the Campus de Burjassot, Edificio C, Planta 2. The supplier is required to coordinate delivery with the Academic Researcher, Dr. Elena Martínez Serrano, no fewer than five (5) business days prior to the scheduled delivery date. Installation and calibration of all major instruments must be completed within ten (10) business days of physical delivery. The supplier shall provide a written installation report and a two-year comprehensive warranty for all capital equipment. Delivery is expected no later than 15 August 2025 to ensure the Academic Researcher can commence the experimental phase of the funded project before the autumn semester begins.

5. Terms and Conditions

This Purchase Order constitutes a binding agreement between the Universitat de València (Buyer) and Laboratorios Científicos del Mediterráneo, S.L. (Supplier) upon written acceptance by both parties.
All pricing is in Euros (EUR) and inclusive of standard packaging. Shipping within the Comunitat Valenciana region of Spain Valencia is included at no additional cost.
The Academic Researcher named on this document is the sole technical authority for acceptance of all delivered goods. No equipment shall be deemed accepted until the Academic Researcher signs the delivery and acceptance certificate.
Payment shall be made via direct bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice, in accordance with the public procurement regulations of the Generalitat Valenciana.
The supplier warrants that all equipment is new, unused, and free from defects. Any item found to be non-conforming within the warranty period shall be repaired or replaced at the supplier's sole expense.
All data generated by the purchased instruments shall remain the exclusive intellectual property of the Academic Researcher and the Universitat de València. The supplier shall not retain, copy, or transmit any research data.
In the event of a dispute, the parties agree to submit to the jurisdiction of the courts of Valencia, Spain, in accordance with the applicable Spanish commercial law (Código de Comercio).
This Purchase Order is subject to the General Conditions of Sale of the Supplier and the specific regulations governing public research funding in Spain. In case of conflict, the terms of this document shall prevail.
The supplier acknowledges that the equipment is being procured under a national research grant (PID2024-148723-I0-00) and agrees to provide all necessary documentation for the Academic Researcher to submit to the funding body for financial reporting.
