- Acceptance: This Purchase Order becomes binding upon written acceptance by the Seller. The Academic Researcher, acting as the authorized purchasing agent for the University of Zurich in Switzerland Zurich, hereby requests the Seller to confirm acceptance within five (5) business days of the date of issue.
- Delivery: All items specified in this Purchase Order shall be delivered to the Academic Researcher's laboratory at the University of Zurich, Winterthurerstrasse 190, 8057 Switzerland Zurich, no later than 30 August 2025. Delivery shall be made Monday through Friday, 08:00 to 17:00 CET, in accordance with standard Swiss working hours in Switzerland Zurich.
- Payment: Payment of the total amount of CHF 243,750.00 shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of the date of invoice. The Academic Researcher's institution in Switzerland Zurich shall process the payment through its central accounts payable department. Late payments shall incur interest at the rate of 5% per annum as stipulated under Swiss Code of Obligations (OR) Article 104.
- Warranty: The Seller warrants that all equipment delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery to the Academic Researcher in Switzerland Zurich. The Seller shall repair or replace any defective item at no additional cost to the Academic Researcher or the University of Zurich.
- Compliance: The Academic Researcher confirms that the procurement of all items listed in this Purchase Order complies with the Swiss Federal Act on Research, Technology Development and Innovation, the Swiss Data Protection Act (revFADP), and all applicable cantonal regulations in Switzerland Zurich governing the use of laboratory equipment and biological materials.
- Intellectual Property: All research data generated by the Academic Researcher using the equipment procured under this Purchase Order shall remain the exclusive property of the University of Zurich, Switzerland Zurich. The Seller shall not claim any rights over research outputs, publications, or intellectual property derived from the use of the purchased instruments.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions in Switzerland Zurich or elsewhere in Switzerland.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Switzerland, with the canton of Zurich (Switzerland Zurich) as the exclusive venue for any disputes arising from or in connection with this Purchase Order. The Academic Researcher and the Seller agree to first attempt resolution through good-faith negotiation before initiating any legal proceedings.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both the Academic Researcher (or their authorized institutional representative) and the Seller. Verbal agreements regarding changes to scope, pricing, or delivery in Switzerland Zurich shall not be enforceable.
- Confidentiality: Both parties acknowledge that the Academic Researcher's research project details, grant information, and institutional protocols shared in connection with this Purchase Order are confidential. The Seller shall not disclose any information pertaining to the Academic Researcher's work in Switzerland Zurich to third parties without prior written consent.
