- All equipment listed in this Purchase Order shall be delivered to the Advanced Materials Laboratory, Middle East Technical University, Çankaya, Turkey Ankara 06800, no later than 30 November 2025.
- Delivery shall be made during standard working hours (09:00–17:00, Monday to Friday) in Turkey Ankara. The Academic Researcher or a designated laboratory manager must be present to receive and inspect all items upon arrival.
- The supplier is responsible for all transportation, insurance, and customs clearance (if applicable for imported components) until the equipment is physically installed in the Turkey Ankara laboratory facility.
- Installation, calibration, and a minimum of 48-hour operational testing of each major instrument (Items 1, 2, 3, 5, and 7) shall be completed by the supplier's certified engineers within 10 business days of delivery.
- The supplier shall provide a comprehensive training session (minimum 3 days) for the Academic Researcher and up to four (4) graduate research assistants on the operation, maintenance, and safety protocols of all delivered equipment.
- Any damage discovered during initial inspection or the 48-hour testing period shall be repaired or replaced by the supplier at no additional cost within 15 business days.
- 30% Advance Payment: TRY 4,045,500.00 due within 10 business days of the Academic Researcher's written acceptance of this Purchase Order.
- 50% on Delivery: TRY 6,742,500.00 due within 15 business days of confirmed delivery and successful installation in Turkey Ankara.
- 20% Final Payment: TRY 2,697,000.00 due within 30 days of completion of the training program and issuance of the final warranty certificate.
- All payments shall be made via bank transfer to the supplier's designated account in Turkey Ankara. The Academic Researcher's institution will process payments through the METU Procurement and Accounting Office in accordance with Turkish public procurement regulations (4734 sayılı Kamu İhale Kanunu) and TÜBİTAK grant disbursement guidelines.
- Late payments shall incur a penalty of 1.5% per month, calculated on the outstanding balance, in compliance with Turkish commercial law.
- All major instruments (Items 1–5 and 7) carry a minimum 24-month comprehensive warranty from the date of final acceptance in Turkey Ankara, covering parts, labor, and on-site service.
- The supplier shall maintain a dedicated technical support line accessible to the Academic Researcher and laboratory staff, with a guaranteed response time of 4 business hours for critical failures and 24 business hours for non-critical issues.
- Annual preventive maintenance contracts for all major instruments shall be offered at a preferential academic rate, to be negotiated separately after the initial warranty period expires.
- Software licenses (Item 6) include all updates, patches, and technical support for the full 5-year license term.
- This Purchase Order is issued exclusively for academic research purposes. The equipment and materials procured herein are intended for use by the named Academic Researcher and their research group at the institution in Turkey Ankara and shall not be resold, transferred, or used for commercial production without prior written consent from the grant-awarding body (TÜBİTAK).
- The supplier warrants that all equipment complies with current Turkish Standards Institution (TSE) regulations, European CE marking requirements where applicable, and all relevant safety directives enforced in Turkey Ankara.
- Both parties agree to resolve any disputes arising from this Purchase Order through amicable negotiation. Should negotiation fail, disputes shall be submitted to the competent courts in Turkey Ankara, Çankaya District.
- This Purchase Order is governed by the laws of the Republic of Türkiye. All communications related to this document shall be conducted in English or Turkish, with the English version prevailing in case of any discrepancy.
- The Academic Researcher reserves the right to modify, add, or remove line items from this Purchase Order by issuing a formal amendment, provided that the total value does not exceed the approved TÜBİTAK grant budget of TRY 15,000,000.00.
- Confidentiality: All research data, methodologies, and preliminary findings associated with the use of the procured equipment remain the intellectual property of the Academic Researcher and the host institution in Turkey Ankara. The supplier shall not disclose any project-specific information to third parties.
