Terms and Conditions
- Delivery: All items shall be delivered to the Abu Dhabi Institute of Advanced Research, Laboratory Block C, Corniche Road, Khalifa City, Abu Dhabi, United Arab Emirates, no later than 30 July 2025. Delivery shall be made during standard business hours (Sunday to Thursday, 8:00 AM to 4:30 PM UAE time).
- Payment Terms: Payment shall be made via bank transfer to the supplier's designated account in the United Arab Emirates. A 30% advance payment (AED 221,051.25) shall be due upon acceptance of this Purchase Order. The remaining 70% (AED 515,786.25) shall be payable within 30 days of successful delivery, installation, and acceptance by the Academic Researcher.
- Warranty: All equipment shall carry a minimum 24-month manufacturer's warranty from the date of commissioning. The supplier shall provide full technical support and replacement parts within the warranty period at no additional cost to the buyer.
- Compliance: All equipment and materials must comply with the standards set by the Emirates Authority for Standardization and Metrology (ESMA) and the Abu Dhabi Department of Energy. The supplier warrants that all items are new, unused, and free from defects.
- Intellectual Property: All research data generated using the procured equipment shall remain the sole property of the Academic Researcher and the Abu Dhabi Institute of Advanced Research. The supplier shall not claim any rights over research outputs.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates and the specific regulations of Abu Dhabi. Any disputes shall be resolved through the Abu Dhabi Courts or, at the buyer's discretion, through arbitration under the rules of the Abu Dhabi Global Market (ADGM) Financial Disputes Centre.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies as declared by the UAE government.
- Confidentiality: The supplier agrees to maintain strict confidentiality regarding the nature of the Academic Researcher's project, the specific research objectives, and any proprietary methodologies associated with the desalination study conducted in Abu Dhabi.
