All goods specified in this Purchase Order shall be delivered to the University of London campus at 14-16 Malet Street, London WC1E 6HX, United Kingdom London. Delivery must be completed no later than 30 August 2025. The Supplier shall coordinate with the Academic Researcher's laboratory manager to schedule delivery windows that minimise disruption to ongoing research activities. All equipment must be delivered fully packaged, insured, and accompanied by complete technical documentation, user manuals, and warranty certificates. Installation and calibration services (Item 05) shall be performed on-site in United Kingdom London within fourteen (14) calendar days of delivery completion.
5. Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- Payment: Payment of the full amount stated in this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. Payment shall be made via BACS transfer to the Supplier's designated bank account in the United Kingdom.
- Warranty: The Supplier warrants that all goods delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of not less than twenty-four (24) months from the date of delivery. The Academic Researcher shall be the primary point of contact for any warranty claims.
- Intellectual Property: All data, findings, and intellectual property generated by the Academic Researcher using the equipment and materials procured under this Purchase Order shall remain the sole property of the University of London, United Kingdom.
- Compliance: The Supplier confirms that all goods and services provided under this Purchase Order comply with all applicable United Kingdom regulations, including but not limited to the UK General Product Safety Regulations 2005, the Health and Safety at Work etc. Act 1974, and all relevant data protection requirements under UK GDPR.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the research objectives, methodologies, and findings associated with the Academic Researcher's work. No information contained in or derived from this Purchase Order shall be disclosed to third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable for all goods already delivered and services already rendered as of the termination date.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to acts of God, government sanctions, or pandemics affecting operations in United Kingdom London.
