- Delivery: All items referenced in this Purchase Order shall be delivered to the University of Chicago laboratory facility at 915 East 58th Street, Chicago, Illinois 60637, United States. Delivery is expected no later than August 1, 2025. The Academic Researcher reserves the right to inspect all goods upon arrival and reject any items that do not conform to the specifications outlined in this Purchase Order.
- Payment Terms: Payment shall be made via institutional purchase card or wire transfer within thirty (30) days of the date of invoice receipt. The Academic Researcher's office will process payment through the University of Chicago Accounts Payable department. Late payments beyond the thirty-day window shall accrue interest at a rate of 1.5% per month, in accordance with Illinois commercial code provisions applicable in United States Chicago.
- Warranty: All new equipment is covered by the manufacturer's standard warranty. Refurbished items (Item #009) carry a minimum twelve-month parts and labor warranty. The Academic Researcher shall notify the supplier in writing within ten (10) business days of discovering any defect or non-conformity.
- Intellectual Property & Data: All data generated using the procured equipment and software in the course of the Academic Researcher's funded study remains the sole intellectual property of the University of Chicago. No vendor shall claim ownership over research outputs, genomic sequences, or analytical results produced in United States Chicago laboratories.
- Compliance: This Purchase Order is subject to all applicable federal, state, and local regulations governing the procurement of scientific equipment in the United States. The Academic Researcher certifies that the purchase complies with NSF grant conditions, University of Chicago procurement policies, and the City of Chicago business licensing requirements.
- Force Majeure: Neither party shall be held liable for delays caused by acts of God, natural disasters, government-mandated closures, or other events beyond reasonable control, provided written notice is given within five (5) business days of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States, with venue exclusively in the Circuit Court of Cook County, Chicago, Illinois.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both the Academic Researcher (or their authorized departmental representative) and the Supplier. Verbal agreements are not binding.
