Terms and Conditions
- This Purchase Order constitutes a binding agreement between the undersigned Academic Researcher, Dr. Elena M. Vasquez, acting under the authority of the University of Miami Research Institute, and Atlantic Scientific Instruments, Inc. All transactions governed by this document shall be conducted in accordance with the laws of the State of Florida and the United States.
- The Academic Researcher shall be the primary point of contact for all technical specifications, delivery coordination, and acceptance inspections. All communications regarding this Purchase Order shall be directed to the contact information listed above in Miami, Florida, United States.
- Delivery of all items shall be made to the University of Miami campus in Coral Gables, Miami, Florida, United States. The vendor assumes full risk of loss until goods are received and inspected by the Academic Researcher or her designated laboratory manager at the Miami facility.
- Payment shall be remitted within thirty (30) calendar days of the date of a valid invoice, via electronic funds transfer (EFT) to the vendor's designated bank account. Late payments shall accrue interest at a rate of 1.5% per month, in compliance with Florida commercial code provisions applicable in Miami, United States.
- All equipment must arrive in new, unused condition with full manufacturer warranties. The Academic Researcher reserves the right to reject any item that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced or refunded within fifteen (15) business days.
- The vendor shall provide a comprehensive installation and training session for the Academic Researcher and her graduate research assistants at the Miami laboratory within ten (10) business days of delivery. Training materials shall be provided in English.
- This Purchase Order is subject to the University of Miami's procurement policies and the federal grant terms under which the Academic Researcher operates (NSF Grant No. OCE-24-08812). Any modification to this document requires written amendment signed by both parties.
- Disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami-Dade County, Florida, United States, in accordance with the rules of the American Arbitration Association.
- The vendor warrants that all products comply with applicable United States federal and state regulations, including but not limited to OSHA standards, EPA guidelines, and Florida Department of Environmental Protection requirements relevant to the Miami metropolitan area.
- This Purchase Order shall remain in full force and effect until all obligations of both parties have been satisfied. It may be terminated early by mutual written consent or by either party in the event of material breach, with thirty (30) days' written notice delivered to the Miami, United States addresses specified herein.
