PURPOSE AND SCOPEThis Purchase Order is issued by the Universidad Central de Venezuela to procure specialized laboratory equipment, reagents, and technical materials required for the ongoing doctoral research program. - Delivery: All goods shall be delivered to the Universidad Central de Venezuela campus in Caracas, Venezuela, within sixty (60) calendar days from the date of this Purchase Order. The supplier is responsible for all logistics, customs clearance, and inland transportation within Venezuela.
- Payment Terms: Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon delivery and acceptance of goods in Caracas, and 20% upon successful installation, calibration, and completion of operator training for the Academic Researcher and his team.
- Warranty: All instruments carry a minimum two-year manufacturer's warranty from the date of installation in Caracas, Venezuela. The supplier shall provide on-site technical support within forty-eight (48) hours of any reported malfunction.
- Acceptance: The Academic Researcher, Dr. Alejandro Fernández Gutiérrez, shall serve as the technical acceptance officer. A formal acceptance report must be signed by the Academic Researcher and the Department Head before final payment is released.
- Compliance: All goods must comply with the technical standards established by the Instituto Venezolano de Investigaciones Científicas (IVIC) and the applicable regulations of the Ministerio del Poder Popular para la Educación Universitaria, Ciencia y Tecnología of Venezuela.
- Intellectual Property: All data generated by the Academic Researcher using the procured equipment remains the exclusive property of the Universidad Central de Venezuela. No third-party claims shall be made on research outputs.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Caracas, Venezuela, in accordance with the Commercial Code of the Republic of Venezuela.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting the Port of La Guaira, Caracas.
- Confidentiality: The supplier agrees to maintain strict confidentiality regarding the research objectives, methodologies, and findings of the Academic Researcher and shall not disclose any information to third parties without written consent from the Universidad Central de Venezuela.
- Governing Law: This Purchase Order is governed by the laws of the Bolivarian Republic of Venezuela. All parties consent to the exclusive jurisdiction of the courts of Caracas, Venezuela.
