1. Description of Services

3. Terms and Conditions

Governing Law: This Purchase Order and the services described herein shall be governed by and interpreted in accordance with the laws of the Republic of Colombia, specifically the Código de Comercio, the Estatuto Tributario, and all regulations issued by the DIAN and the Superintendencia de Sociedades. Any disputes arising from this engagement shall be resolved in the competent courts of Medellín, Antioquia, Colombia.
Payment Terms: Payment for services rendered shall be made via electronic bank transfer (EFT) to the vendor's account in COP within fifteen (15) calendar days from the receipt of a valid electronic invoice (Factura Electrónica) compliant with the DIAN's resolution requirements. The Accountant shall issue a separate invoice for each monthly service cycle.
Service Location: All on-site meetings, document handovers, and in-person consultations related to this Purchase Order shall take place at the issuing company's offices in El Poblado, Medellín, Colombia, or at the vendor's offices in Envigado, Antioquia, as mutually agreed. Remote collaboration via secure digital channels is permitted for routine tasks.
Confidentiality: The Accountant and all personnel of the vendor firm shall maintain strict confidentiality over all financial data, trade secrets, and proprietary information of Andes Digital Solutions S.A.S. This obligation survives the termination of this Purchase Order for a period of five (5) years.
Compliance and Professional Standards: The Accountant shall perform all duties in strict accordance with the professional standards established by the Consejo Técnico de la Contaduría Pública (CTCP) and shall maintain all required professional licenses and registrations in good standing with the Superintendencia de Sociedades of Colombia.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the city of Medellín or the Antioquia department.
Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not constitute a valid amendment.

4. Acceptance and Authorization

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Accountant's professional services as described herein. The vendor confirms that the named Accountant, C.P. María Fernanda Restrepo Gómez, is duly authorized to perform the services and holds all necessary professional credentials to practice accounting in Colombia.
