The Accountant engaged pursuant to this Purchase Order shall perform the following duties and responsibilities in full compliance with the Ethiopian Financial Reporting Standards (EFRS), the Ethiopian Revenue and Customs Authority (ERCA) regulations, and the National Bank of Ethiopia directives applicable in Addis Ababa, Ethiopia:

1. Payment shall be made in Ethiopian Birr (ETB) via bank transfer to the vendor's designated account at Commercial Bank of Ethiopia, Addis Ababa branch, within fifteen (15) calendar days of receipt of a valid invoice from the Accountant service provider.
2. A mobilization advance of twenty percent (20%) of the total Purchase Order value, amounting to ETB 366,000.00, shall be disbursed within seven (7) days of mutual execution of this Purchase Order.
3. Remaining payments shall be released in monthly installments of ETB 128,750.00, subject to satisfactory completion of the Accountant's deliverables for the corresponding period.
4. All payments are subject to the applicable Ethiopian withholding tax rate of 2% on service fees, which shall be deducted at source by the buyer and remitted to ERCA, Addis Ababa, Ethiopia.
5. Late payments beyond the stipulated period shall attract a penalty of 0.5% per calendar day, in accordance with the Ethiopian Commercial Code.

This Purchase Order for Accountant services shall commence on 1 July 2025 and shall remain in full force and effect until 30 June 2026, covering one complete Ethiopian fiscal year. The Accountant shall be expected to be fully operational and integrated into the buyer's financial systems within the first ten (10) business days of commencement. The vendor shall provide proof of professional indemnity insurance with a minimum coverage of ETB 5,000,000.00, valid throughout the term of this Purchase Order.

The Accountant and all personnel assigned under this Purchase Order shall treat all financial records, client data, and proprietary information of Horizon Financial Solutions PLC as strictly confidential. No financial data shall be stored on personal devices or transmitted outside the vendor's secured office in Addis Ababa, Ethiopia, without prior written authorization. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and shall expose the vendor to legal action under the Ethiopian Data Protection Proclamation (Proclamation No. 1152/2019).

Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of a material breach by the Accountant or the vendor, the buyer may terminate immediately upon written notice. Any disputes arising from this Purchase Order shall first be subject to amicable negotiation.
