This Purchase Order formally authorizes the procurement of professional Accountant services to be rendered by Cabinet Comptable Méditerranée & Associés on behalf of Provence Méditerranée Holdings SARL. The Accountant shall provide comprehensive fiscal, accounting, and regulatory advisory services in full compliance with the French Commercial Code (Code de commerce), the French Tax Code (Code général des impôts), and all applicable regulations enforced within the jurisdiction of France Marseille, specifically the Bouches-du-Rhône department (Code postal 13000 series).

- Governing Law and Jurisdiction: This Purchase Order and the resulting engagement of the Accountant shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, located at 22 Rue de la Charité, 13002 Marseille, France.
- Payment Terms: Invoices issued by the Accountant shall be payable within thirty (30) calendar days from the date of invoice receipt, by bank transfer to the account designated by Cabinet Comptable Méditerranée & Associés. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code, as applicable in the Marseille commercial district.
- Professional Liability and Insurance: The Accountant shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000, as required by the Ordre des Experts-Comptables for practitioners operating in the Marseille and Provence-Alpes-Côte d'Azur region. A certificate of insurance shall be provided upon request.
- Confidentiality and Data Protection: The Accountant shall handle all financial records, payroll data, and corporate information in strict compliance with the French Data Protection Act (Loi Informatique et Libertés) and the EU General Data Protection Regulation (GDPR). All data processing related to this Purchase Order shall be conducted within the territory of France, with primary operations based in Marseille.

Claire Fontaine, retains ultimate professional responsibility for all deliverables. No subcontracting to third parties outside the firm is permitted without prior written consent from Provence Méditerranée Holdings SARL.
- Termination: Either party may terminate this Purchase Order engagement with a written notice of sixty (60) days. In the event of termination, the Accountant shall deliver all completed work product, updated ledgers, and pending tax filings to the client within fifteen (15) days of the effective termination date, in accordance with French professional accounting standards.
- Local Compliance – France Marseille: The Accountant acknowledges and agrees to comply with all local regulations specific to the Marseille metropolitan area, including but not limited to the provisions of the Port Autonome de Marseille regarding customs accounting for import/export operations, the specific tax incentives available under the ZFU (Zone Franche Urbaine) Marseille program, and any municipal reporting obligations imposed by the Métropole Aix-Marseille-Provence.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events of force majeure as defined under Articles 1218 to 1220 of the French Civil Code, including but not limited to natural disasters affecting the Marseille coastline, government-mandated closures, or systemic failures of the French tax administration (DGFiP) in the Bouches-du-Rhône region.
- Amendments: Any modification to the scope, pricing, or terms of this Purchase Order must be documented in a written addendum signed by both parties. Verbal agreements, even if made in person at the Marseille office, shall not constitute a valid amendment to this document.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Accountant services as described herein. The Accountant confirms availability to commence services no later than 1 July 2025 and agrees to perform all obligations in full compliance with French professional accounting standards and the regulatory framework applicable in France Marseille.
