- Engagement Period: This Purchase Order covers the fiscal year 2025 (1 January 2025 through 31 December 2025). The Accountant shall commence services no later than 1 July 2025 and shall maintain continuous availability throughout the engagement period.
- Payment Schedule: Invoices shall be issued monthly by the Accountant and are payable within thirty (30) calendar days of the invoice date via bank transfer (bonifico bancario) to the IBAN specified on the invoice. Late payments shall accrue interest at the rate established by the Banca d'Italia.
- Professional Liability: The Accountant shall maintain professional indemnity insurance (RC Professionale) with a minimum coverage of EUR 500,000 per claim, as required by the Ordine dei Dottori Commercialisti di Roma. A certificate of insurance shall be provided upon request.
- Confidentiality and Data Protection: All financial data, client records, and proprietary information shall be treated in strict confidence. The Accountant shall comply with the Italian Data Protection Code (Codice in materia di protezione dei dati personali, D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR, Regulation 2016/679). - Place of Performance: All services shall be rendered primarily at the Accountant's office located in Rome, Italy, or at the Buyer's premises in Rome as mutually agreed. Remote work arrangements are permissible subject to data security protocols.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, plus any non-recoverable costs incurred by the Accountant.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent courts of Rome (Tribunale di Roma), Italy. The parties may alternatively submit the dispute to arbitration under the rules of the Camera di Commercio di Roma.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, governmental actions, or public health emergencies affecting the Rome metropolitan area.
- Compliance: The Accountant warrants that all services shall be performed in full compliance with Italian tax law, anti-money laundering regulations (D.Lgs. 231/2007), and the professional code of ethics of the Ordine dei Dottori Commercialisti e degli Esperti Contabili.
This Purchase Order constitutes a binding procurement commitment upon signature by both parties. By signing below, the Buyer authorizes the Accountant to perform the services described herein, and the Accountant accepts the terms, conditions, and scope of work set forth in this document. This Purchase Order is issued in accordance with the internal procurement policies of Studio Finanziario Tevere S.r.l. and the applicable provisions of Italian commercial law.
