4.1 — This Purchase Order is governed by the laws of the State of Japan, with particular reference to the commercial and tax regulations applicable to the city of Kyoto and the Kyoto Prefecture. Any disputes arising from the execution of this Purchase Order shall be resolved through the Kyoto District Court or, at the mutual agreement of both parties, through arbitration administered by the Japan Commercial Arbitration Association in Japan Kyoto.
4.2 — The Accountant engaged under this Purchase Order must hold a valid Certified Public Accountant (Kaikeishi) license issued by the Japanese government and must maintain professional indemnity insurance with a minimum coverage of ¥50,000,000. The Accountant shall be physically based in or maintain a registered office within the Japan Kyoto metropolitan area to ensure timely access to local tax offices, municipal government departments, and the Kyoto Regional Tax Office.
4.3 — All deliverables, reports, and filings produced under this Purchase Order shall be prepared in Japanese in accordance with the Japanese Financial Reporting Standards (JFRS) and International Financial Reporting Standards (IFRS) where applicable. The Accountant shall provide a summary translation in English upon request for the benefit of the purchasing entity's international stakeholders.
4.4 — The Accountant shall maintain strict confidentiality of all financial data, trade secrets, and proprietary information belonging to Kyoto Regional Business Operations Co., Ltd. in compliance with the Act on the Protection of Personal Information (APPI) of Japan. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and may result in legal action in the Japan Kyoto jurisdiction.
4.5 — Payment for services rendered under this Purchase Order shall be made via bank transfer to the Accountant's designated account in Japan Kyoto within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate of 1.5% per month as prescribed under Japanese commercial law.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Accountant in Japan Kyoto. This Purchase Order becomes effective upon the date of the last signature and shall remain in force for the duration of the fiscal year 2025–2026 unless terminated earlier in accordance with the provisions herein.
