This Purchase Order is issued by Shinagawa Digital Solutions K.K. to formally engage the services of a qualified Accountant based in Japan Tokyo for the provision of comprehensive accounting, tax compliance, and financial advisory services. The Accountant engaged under this Purchase Order shall operate in full compliance with the Japanese Commercial Code, the Income Tax Act, the Corporation Tax Act, and all applicable regulations enforced by the National Tax Agency (NTA) and the Tokyo Metropolitan Tax Office. The scope of this Purchase Order covers all professional Accountant services required to maintain the financial integrity of the buyer's operations within the Japan Tokyo metropolitan area and its surrounding business districts.

3.1 Payment Terms: All invoices issued by the Accountant under this Purchase Order shall be payable within 30 days of the invoice date via bank transfer to the account designated by Hoshino & Partners. Payment shall be made in Japanese Yen (JPY) from the buyer's corporate account held at a bank in Japan Tokyo.

3.2 Performance Standards: The Accountant shall deliver all financial documents, tax filings, and reports in accordance with Japanese Generally Accepted Accounting Principles (J-GAAP) and International Financial Reporting Standards (IFRS) where applicable. All work product shall be delivered to the buyer's finance department located in Minato-ku, Japan Tokyo, no later than the 10th business day following the end of each reporting period.

3.3 Confidentiality: The Accountant acknowledges that all financial data, corporate records, and proprietary information accessed in the course of fulfilling this Purchase Order are strictly confidential. The Accountant shall not disclose any information to third parties without prior written consent from Shinagawa Digital Solutions K.K., in accordance with the Japanese Act on the Protection of Personal Information (APPI).

3.4 Liability and Indemnification: The Accountant shall be liable for any penalties, surcharges, or interest imposed by the National Tax Agency or the Tokyo Metropolitan Government as a result of errors, omissions, or late filings attributable to the Accountant's professional negligence. The Accountant shall maintain professional indemnity insurance with a minimum coverage of JPY 50,000,000, valid throughout the term of this Purchase Order.

3.5 Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Accountant shall complete all outstanding filings and deliver a full handover of records to the buyer or a successor Accountant within 30 days of the termination effective date.

3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tokyo District Court, Japan Tokyo.

By signing below, both parties acknowledge and accept all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Accountant in Japan Tokyo. This Purchase Order becomes effective upon the signature of both the authorized representative of the buyer and the lead Accountant of the service provider.
