3. Description of Services — Accountant Engagement

This Purchase Order is issued by Savanna Ridge Enterprise Limited to engage the services of a qualified Accountant to provide comprehensive financial management, statutory compliance, and advisory services within the jurisdiction of Kenya Nairobi. The Accountant shall perform all duties in accordance with the International Financial Reporting Standards (IFRS) as adopted in Kenya, the Companies Act 2015 of Kenya, and the regulations of the Kenya Revenue Authority (KRA). All services under this Purchase Order shall be rendered at the designated office premises located in Kenya Nairobi unless otherwise agreed in writing by both parties.

5. Terms and Conditions of This Purchase Order

Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Accountant. The Accountant must sign and return a copy of this Purchase Order within five (5) business days of receipt to confirm acceptance of all terms.
Performance Location: All services described in this Purchase Order shall be performed at the offices of Savanna Ridge Enterprise Limited located in Kenya Nairobi, or at such other location in Kenya Nairobi as mutually agreed upon in writing. The Accountant shall be responsible for all travel and transportation costs within the Kenya Nairobi metropolitan area.
Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of invoice submission. Invoices shall be submitted to the finance department at the Kenya Nairobi office. Late payments shall attract interest at the rate of 1.5% per month as stipulated under Kenyan commercial law.
Professional Standards: The Accountant shall maintain all professional certifications, including but not limited to the ICPA/KICPA license, and shall adhere to the Code of Ethics and Professional Conduct as prescribed by the Institute of Certified Public Accountants of Kenya. Any lapse in professional standing shall constitute grounds for immediate termination of this Purchase Order.
Confidentiality: The Accountant shall treat all financial records, client data, and proprietary information of Savanna Ridge Enterprise Limited as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years. Breach of confidentiality shall be subject to legal action under the Data Protection Act, 2019 of Kenya.
Termination: Either party may terminate this Purchase Order by providing thirty (30) days written notice. In the event of material breach by the Accountant, the Purchasing Entity may terminate this Purchase Order immediately upon written notice. All services rendered up to the date of termination shall be invoiced and paid in accordance with the terms herein.
Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within fourteen (14) days, the matter shall be referred to arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya. The language of arbitration shall be English.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. The courts of Kenya Nairobi shall have exclusive jurisdiction over any matters not subject to arbitration.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Kenya Nairobi.
Entire Agreement: This Purchase Order, together with any annexures attached hereto, constitutes the entire agreement between the parties regarding the engagement of the Accountant for the services described herein and supersedes all prior negotiations, representations, or agreements.
