Description of Services — Accountant EngagementThis Purchase Order is issued by Grupo Financiero del Valle, S.A. de C.V. to formally request and authorize the procurement of professional Accountant services to be rendered in Mexico, Mexico City. The engagement covers a comprehensive suite of financial, tax, and compliance services required for the fiscal year 2025. The Accountant shall operate in full compliance with the Mexican Federal Tax Code (Código Fiscal de la Federación), the Commercial Code of Mexico, and all applicable regulations enforced by the Servicio de Administración Tributaria (SAT) within the jurisdiction of Mexico, Mexico City.

- Place of Performance: All services under this Purchase Order shall be performed at the offices of the Purchasing Party located in Mexico, Mexico City, or remotely as mutually agreed upon. The Accountant shall have access to all financial records, systems, and documentation necessary to fulfill the obligations herein.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid CFDI (Comprobante Fiscal Digital por Internet) invoice issued by the Accountant service provider. Payments shall be processed via bank transfer to the account designated by Contabilidad Profesional CDMX, S.C. in Mexico, Mexico City.
- Compliance with Mexican Law: The Accountant warrants that all services will be rendered in strict compliance with the Mexican Federal Tax Code, the Commercial Code, the General Law of Social Security (Ley del Seguro Social), and all local regulations applicable in Mexico, Mexico City. Any penalties or sanctions arising from non-compliance attributable to the Accountant shall be borne solely by the service provider.
- Confidentiality: The Accountant shall maintain absolute confidentiality over all financial data, trade secrets, and proprietary information of Grupo Financiero del Valle, S.A. de C.V. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Term and Renewal: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance, covering the fiscal year 2025. Renewal shall be subject to mutual written agreement and a new Purchase Order issued by the Purchasing Party.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Accountant shall deliver all work-in-progress documentation and shall be compensated for services rendered up to the effective date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the commercial courts of Mexico, Mexico City.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Mexico, Mexico City.
- Professional Liability: The Accountant shall maintain professional liability insurance with a minimum coverage of MXN $2,000,000.00 for the duration of this engagement in Mexico, Mexico City.
By signing below, both parties acknowledge and agree to all terms, conditions, and service descriptions outlined in this Purchase Order for Accountant services to be performed in Mexico, Mexico City. This document constitutes a binding agreement between the parties upon execution.
