1. Description of Procured Services

This Purchase Order is issued by Himalayan Enterprise Solutions Pvt. Ltd., a registered company operating in Nepal Kathmandu, to formally procure the professional services of a qualified Accountant through Shree Ganesh Professional Services LLP. The engagement of this Accountant is essential for the proper management of financial records, statutory compliance, and fiscal reporting in accordance with the laws and regulations of Nepal, including the Companies Act 2063, the Income Tax Act 2058, and the guidelines issued by the Office of the Company Registrar (OCR) and the Inland Revenue Department (IRD) of Nepal.

2. Scope and Responsibilities of the Accountant

The Accountant engaged under this Purchase Order shall perform the following duties while stationed at the buyer's premises in Nepal Kathmandu:

Maintain accurate and complete books of accounts in accordance with the Nepal Financial Reporting Standards (NFRS) and International Financial Reporting Standards (IFRS) as adopted in Nepal.
Prepare and submit all statutory tax filings, including monthly VAT returns, quarterly withholding tax returns, and annual income tax returns, to the relevant Inland Revenue Department offices in Kathmandu.
Reconcile bank accounts, manage cash flow, and prepare monthly management reports for the senior leadership of Himalayan Enterprise Solutions Pvt. Ltd.
Ensure compliance with the Companies Act 2063, the Nepal Rastra Bank directives (if applicable), and all other relevant fiscal and corporate regulations in Nepal.
Assist in the preparation of annual audited financial statements and coordinate with the external statutory auditor appointed for the Nepal Kathmandu fiscal year.
Provide advisory support on budgeting, cost control, and financial planning tailored to the operational environment of businesses in Kathmandu, Nepal.
Maintain confidentiality of all financial data and ensure data security in compliance with Nepal's applicable data protection regulations.

3. Terms and Conditions

This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, specifically the Contract Act 2056 and the Sale of Goods Act 2058.
The Accountant shall commence duties on or before the commencement date specified above at the buyer's office located in Kathmandu, Nepal. Any delay beyond 7 calendar days shall entitle the buyer to terminate this Purchase Order without penalty.
Payment shall be made via bank transfer to the vendor's designated account in Nepal. Invoices must be submitted by the 5th of each month for the preceding month's services rendered.
The vendor shall ensure that the Accountant holds a valid membership with the Institute of Chartered Accountants of Nepal (ICAN) or an equivalent recognized professional body in Nepal.
Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, payment shall be made only for services actually rendered up to the termination date.
All disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act 2055 of Nepal.
The vendor is responsible for all statutory deductions including income tax withholding (15% for services) as mandated by the Inland Revenue Department of Nepal.
This Purchase Order is valid for a period of 12 months from the commencement date and may be renewed by mutual written agreement of both parties.

By signing below, both parties acknowledge and accept the terms, conditions, and scope of services outlined in this Purchase Order for the engagement of a professional Accountant in Nepal Kathmandu.
